This Purchase Order is issued by Montreal Creative Industries Group Inc. to Éclat Visuel Photography Studio for the provision of professional Photographer services to be performed within the Canada Montreal metropolitan area. The Photographer shall deliver a comprehensive visual documentation package for the buyer's annual corporate gala, product launch event, and executive headshot sessions. All photographic work shall be conducted in compliance with the professional standards established by the Canadian Association of Professional Photographers and shall adhere to the privacy and data protection regulations applicable in the Province of Quebec, including the Act respecting the protection of personal information in the private sector (Law 25).
The Photographer is expected to bring all necessary professional-grade equipment, including but not limited to full-frame DSLR or mirrorless camera bodies, a selection of prime and zoom lenses, professional lighting kits, reflectors, and backup storage media. The Photographer shall also provide a minimum of one (1) assistant for all on-site shooting days in Canada Montreal.

- Payment Terms: A deposit of fifty percent (50%) of the total Purchase Order value, amounting to $5,967.21 CAD, is due upon acceptance of this Purchase Order. The remaining balance of $5,967.20 CAD shall be invoiced and is payable within thirty (30) days of final delivery of all photographic assets.
- Acceptance & Revisions: The buyer shall have five (5) business days from the date of final delivery to review all images. One (1) round of minor revisions (cropping, exposure adjustment, minor retouching) is included at no additional cost. Additional revision rounds shall be billed at $75.00 CAD per hour by the Photographer.
- Intellectual Property & Licensing: Upon full payment, the buyer shall receive a perpetual, royalty-free, worldwide commercial license for all images delivered under this Purchase Order. The Photographer retains the right to display a limited selection of images in their professional portfolio, subject to the buyer's prior written approval for any images depicting identifiable individuals or proprietary products.
- Cancellation & Rescheduling: Cancellation by the buyer more than fourteen (14) calendar days prior to a scheduled shooting date in Canada Montreal shall result in forfeiture of the deposit only. Cancellation within fourteen (14) days shall result in a charge of seventy-five percent (75%) of the total Purchase Order value. Rescheduling is permitted once at no charge if requested at least seven (7) days in advance.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather conditions affecting the Canada Montreal region, public health emergencies, or governmental restrictions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before proceeding to litigation in the competent courts of the Province of Quebec.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and non-public business matters encountered during the performance of services under this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Insurance: The Photographer shall maintain, at their own expense, a minimum of $2,000,000 CAD in professional liability insurance and $1,000,000 CAD in equipment insurance for the duration of all services rendered under this Purchase Order in Canada Montreal.
