Terms and Conditions of This Purchase Order

1. This Purchase Order is issued by Meridian Events & Media Corp. (hereinafter "Buyer") to David Chen Photography Ltd. (hereinafter "Photographer") for professional photography services to be performed in Canada Toronto. Acceptance of this Purchase Order constitutes full agreement to all terms stated herein.
2. The Photographer shall arrive at the venue no later than 120 minutes prior to the scheduled event start time on July 18, 2025, to complete equipment setup, lighting calibration, and venue walkthrough in Toronto, Canada.
3. All photographs captured under this Purchase Order shall be the exclusive intellectual property of the Buyer upon full payment. The Photographer retains the right to use up to five (5) images for personal portfolio purposes, subject to prior written approval from the Buyer.
4. The Photographer guarantees delivery of all edited high-resolution files (minimum 3000 pixels on the long edge, TIFF and JPEG formats) within fourteen (14) business days of the event date. Failure to meet this deadline shall result in a 5% discount per day of delay, up to a maximum of 25%.
5. Payment shall be made via electronic funds transfer (EFT) to the account designated by the Photographer within thirty (30) calendar days of receipt of a valid tax invoice. All amounts are denominated in Canadian Dollars (CAD) and are subject to the applicable 13% Harmonized Sales Tax (HST) as governed by the Canada Revenue Agency for the province of Ontario.
6. The Photographer shall carry a minimum of $2,000,000 in commercial general liability insurance, valid throughout the duration of the engagement in Canada Toronto. A certificate of insurance naming the Buyer as an additional insured party must be provided prior to the event date.
7. In the event of cancellation by the Buyer with more than fourteen (14) days' notice, a 25% cancellation fee applies. Cancellations within fourteen (14) days of the event date shall incur a 50% fee. Cancellations within 48 hours shall be subject to full payment of the Purchase Order total.
8. The Photographer agrees to comply with all applicable federal and provincial privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Personal Information Protection Act (PIPA), regarding the handling of any personal data captured during the event.
9. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada.
10. Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid amendment.
