- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Photographer. The Photographer shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Service Delivery: All photography services shall be completed no later than August 15, 2025. The Photographer shall coordinate scheduling with the Buyer's project manager at least ten (10) business days prior to each shoot date.
- Location: All on-site services shall be performed within the Canada Vancouver metropolitan area as specified in Section 3. Any travel outside this region requires prior written approval and will be billed at cost.
- Deliverables: The Photographer shall deliver all final images in TIFF (print) and JPEG (web) formats via secure cloud transfer. Raw files (CR3/NEF) shall be retained by the Photographer for a period of twelve (12) months.
- Intellectual Property: Upon full payment, all final edited images shall become the exclusive property of the Buyer. The Photographer retains the right to display a limited selection (no more than 10 images) in their professional portfolio, subject to the Buyer's prior written consent for sensitive corporate content.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Photographer. Payment shall be made via Electronic Funds Transfer (EFT) to the account designated by the Photographer. Late payments shall accrue interest at 1.5% per month as permitted under the British Columbia Interest Act.
- Cancellation: Either party may cancel this Purchase Order with fourteen (14) days written notice. In the event of cancellation by the Buyer after the Photographer has commenced work, the Buyer shall be liable for all costs incurred up to the date of cancellation.
- Insurance: The Photographer shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence, valid throughout the Canada Vancouver service area, and shall provide a certificate of insurance upon request.
- Compliance: The Photographer shall comply with all applicable federal and provincial laws of Canada, including the Personal Information Protection and Electronic Documents Act (PIPEDA) for any images containing identifiable individuals, and the Copyright Act of Canada.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, British Columbia, in accordance with the British Columbia Civil Resolution Tribunal Act. If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions affecting the Canada Vancouver area, government-mandated closures, or natural disasters.
