This Purchase Order is issued by Horizon Media Group Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of Capital Lens Photography Studio (hereinafter referred to as the "Seller") for the provision of professional Photographer services to be executed within the municipality of China Beijing. The Photographer shall deliver a comprehensive visual documentation package covering corporate events, product photography, and editorial content as specified in the line items below. All photographic work shall be conducted in accordance with the professional standards recognized by the China Photographers Association and applicable regulations of the People's Republic of China.

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Seller (Photographer) within five (5) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under the terms herein.
2. Photographer Qualifications: The Photographer engaged under this Purchase Order must hold a valid Professional Photographer License issued by the China Photographers Association and possess a minimum of eight (8) years of commercial photography experience in China Beijing. The Photographer must carry professional liability insurance with a minimum coverage of CNY 2,000,000 for the duration of the engagement.
3. Service Location Compliance: All photographic activities conducted in China Beijing shall comply with local municipal regulations, including but not limited to drone flight permits from the Beijing Civil Aviation Administration, location permits from the relevant district cultural bureau, and any applicable noise or public assembly restrictions in the People's Republic of China.
4. Deliverables: The Photographer shall deliver all final images in high-resolution TIFF (minimum 300 DPI) and JPEG formats within ten (10) business days of the final shoot date. A digital asset management package with organized folders, metadata tagging, and a printed contact sheet shall accompany the digital delivery.
5. Intellectual Property: Upon full payment, all copyrights and reproduction rights to the final photographic works shall transfer to the Buyer. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio for self-promotional purposes, subject to prior written approval from the Buyer.
6. Payment Terms: A deposit of 40% (CNY 59,116.80) shall be paid within seven (7) business days of Purchase Order acceptance. The remaining 60% (CNY 88,675.20) shall be paid within fifteen (15) business days of final deliverable acceptance. Payment shall be made via bank transfer to the Seller's designated account in China Beijing.
7. Rescheduling & Cancellation: The Buyer may reschedule any shoot date up to seventy-two (72) hours in advance without penalty. Cancellation by the Buyer after the 72-hour window shall incur a 50% fee on the affected line item. Cancellation by the Photographer without cause shall result in a full refund of the deposit plus 10% compensation.
8. Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to severe weather conditions in China Beijing, government-mandated closures, or public health emergencies as declared by the Beijing Municipal Government.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising herefrom shall be resolved through arbitration at the Beijing Arbitration Commission in accordance with its then-current rules.
10. Confidentiality: The Photographer and all personnel under the Photographer's direction shall maintain strict confidentiality regarding the Buyer's proprietary information, trade secrets, and unpublished content encountered during the execution of services in China Beijing. This obligation shall survive for a period of three (3) years following completion of the engagement.
