This Purchase Order is issued by Guangzhou Creative Media Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Guangzhou Lens & Light Photography Studio (hereinafter referred to as the "Supplier") for the engagement of a professional Photographer to deliver a comprehensive commercial photography project. The Photographer shall be physically present and actively operating within the city of China Guangzhou for the entire duration of the contracted engagement. All deliverables, on-site shoots, and client meetings associated with this Purchase Order shall take place at locations within the administrative boundaries of Guangzhou, Guangdong Province, China.

The Photographer engaged under this Purchase Order is expected to possess a minimum of eight (8) years of professional experience in commercial, editorial, and corporate photography. The Photographer must be fluent in Mandarin Chinese and possess working proficiency in English to facilitate communication with the Buyer's international stakeholders. The Photographer shall provide all necessary professional-grade camera equipment, lighting rigs, lenses, and post-production software required to fulfill the obligations outlined in this Purchase Order.

The Photographer shall commence on-site work in China Guangzhou no later than 25 June 2025. All raw image files shall be delivered to the Buyer's designated cloud storage portal within five (5) business days following the completion of each shoot day. Final edited and retouched images, as specified in Line Item 03, shall be delivered in a consolidated package no later than 10 July 2025. The Photographer shall ensure that all deliverables conform to the technical specifications (resolution, color profile sRGB/Adobe RGB, file format TIFF and JPEG) provided in the attached Technical Rider, which forms an integral part of this Purchase Order.

Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated corporate bank account in China Guangzhou. A 30% advance payment (CNY 41,658.00) is due within seven (7) business days of the Buyer's written acceptance of this Purchase Order. The remaining 70% balance (CNY 97,202.00) shall be due within thirty (30) calendar days of the Buyer's written acceptance of all final deliverables. The Supplier shall issue a valid Chinese VAT invoice (fapiao) for the full amount upon receipt of the advance payment. Late payments shall incur a penalty of 0.05% per calendar day as stipulated under applicable Chinese commercial law.

All services rendered under this Purchase Order shall comply with the laws and regulations of the People's Republic of China, including but not limited to the Copyright Law of the PRC, the Personal Information Protection Law (PIPL), and local Guangzhou municipal regulations governing commercial photography and drone operations. The Photographer shall obtain any necessary permits from the Guangzhou Municipal Public Security Bureau and the Civil Aviation Administration of China (CAAC) prior to conducting aerial photography. The Photographer warrants that all models and individuals appearing in the delivered images shall have signed valid Chinese-language model release forms, and that no intellectual property rights of third parties are infringed upon in any deliverable.

This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, with the arbitration proceedings conducted in English.

Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. In the event of cancellation by the Buyer after the Photographer has commenced work, the Buyer shall be liable for all costs incurred by the Photographer up to the date of cancellation, including non-refundable equipment rentals and travel expenses within China Guangzhou. Force majeure events, including but not limited to severe weather affecting Guangzhou, government-mandated closures, or public health emergencies, shall excuse timely performance without penalty, provided the affected party notifies the other within 48 hours.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Photographer in China Guangzhou. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
