- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Photographer's representative at Shanghai LensCraft Photography Studio. The Photographer acknowledges receipt of this Purchase Order by signing the acceptance block below.
- Performance Period: All photography services shall be executed between July 7, 2025, and July 20, 2025, within the administrative boundaries of China Shanghai. The Photographer must adhere to the agreed schedule and notify the Buyer in writing at least 48 hours in advance of any proposed schedule changes.
- Payment: Payment of the total amount of CNY 128,578.00 shall be made via bank transfer to the account designated by the Photographer within thirty (30) calendar days of the final delivery and written acceptance of all deliverables. The Buyer's payment shall be processed through its corporate treasury in China Shanghai.
- Intellectual Property: Upon full payment, all copyright and reproduction rights to the final edited images shall transfer exclusively to Shanghai Horizon Media Group Co., Ltd. The Photographer retains the right to display up to five (5) images in their professional portfolio, subject to prior written approval from the Buyer.
- Compliance: The Photographer and all supporting personnel must comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Copyright Law of the PRC, local photography permits required in China Shanghai, and data protection regulations under the Personal Information Protection Law (PIPL).
- Insurance: The Photographer shall maintain professional liability insurance with a minimum coverage of CNY 1,000,000 for the duration of the engagement. Proof of insurance shall be provided to the Buyer prior to the commencement of services.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations of the Buyer observed during the photography sessions in China Shanghai. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the date of termination, and the Photographer shall deliver all completed work product.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies, provided that the affected party notifies the other within 48 hours.
