- This Purchase Order constitutes a binding agreement between Andina Creative Productions S.A.S. (hereinafter "Buyer") and Lentes del Eje Fotográfico Ltda. (hereinafter "Photographer Supplier") for the provision of professional photography services in Colombia Bogotá.
- The Photographer Supplier shall assign qualified, experienced Photographer personnel to all sessions. The Lead Photographer must hold a minimum of five (5) years of commercial photography experience and valid professional registration with the Colombian Chamber of Commerce.
- All photography services shall be performed within the city of Colombia Bogotá unless otherwise agreed in writing. Any travel outside the city limits of Colombia Bogotá will require a separate written amendment to this Purchase Order.
- The Photographer Supplier guarantees that all deliverables will be original, non-infringing work. Any third-party model releases, location permits, or property releases required for shoots in Colombia Bogotá shall be obtained and provided to the Buyer at no additional cost.
- Payment shall be made via bank transfer to the account specified on the Photographer Supplier's invoice within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Colombian Superintendencia Financiera.
- The Buyer reserves the right to request up to two (2) rounds of revisions on edited images per shoot day. Additional revision rounds will be billed at COP 350,000 per hour of the Photographer's time.
- All raw and edited files shall be the exclusive property of the Buyer upon full payment. The Photographer Supplier may use a maximum of five (5) images in their professional portfolio, subject to prior written approval from the Buyer.
- In the event of cancellation by the Buyer with fewer than five (5) business days' notice, a cancellation fee of 50% of the scheduled day's rate shall apply. Cancellation by the Photographer Supplier due to force majeure (including but not limited to weather conditions affecting outdoor shoots in Colombia Bogotá) shall be rescheduled at no cost to the Buyer.
- This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the commercial courts of Colombia Bogotá, D.C.
- The Photographer Supplier shall comply with all applicable data protection regulations under Ley 1581 de 2012 (Colombian Data Protection Law) when handling images of identifiable individuals.
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. Any services not rendered within this period will require a new Purchase Order or written extension.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Photographer Supplier to deliver professional photography services in Colombia Bogotá.
