• Payment Schedule: A 40% advance payment (COP 9,115,400) shall be due within five (5) business days of Purchase Order acceptance. The remaining 60% (COP 13,673,100) shall be due within thirty (30) calendar days of final delivery and written acceptance of all deliverables.
• Payment Method: All payments shall be made via bank transfer to the Seller's account at Banco de Bogotá, Colombia. The Seller shall issue a formal factura electrónica (electronic invoice) compliant with DIAN (Dirección de Impuestos y Aduanas Nacionales) regulations for each payment milestone.
• Intellectual Property: Upon full payment, all final photographic images, video footage, and associated files shall become the exclusive property of the Buyer. The Photographer retains the right to display a limited selection (up to 10 images) in their professional portfolio, subject to prior written approval from the Buyer.
• Compliance with Colombian Law: The Photographer and their team shall comply with all applicable labor laws of Colombia, including but not limited to the Código Sustantivo del Trabajo, and shall maintain valid professional liability insurance with a minimum coverage of COP 50,000,000 for the duration of the engagement in Medellín.
• Permits and Regulations: The Seller is responsible for obtaining all necessary location permits, municipal authorizations from the Alcaldía de Medellín, and any special event permits required for photography at public venues within the city.
• Confidentiality: The Photographer agrees to maintain strict confidentiality regarding the Buyer's proprietary information, unreleased products, and internal business matters encountered during the engagement in Colombia, Medellín.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Medellín metropolitan area.
• Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Buyer shall compensate the Photographer for all work completed and expenses incurred up to the termination date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes shall be resolved through the competent commercial courts of Medellín, Antioquia.
