This Purchase Order is issued by Kinshasa Media & Production Services, SARL, to formally engage the services of a professional Photographer for the production of a comprehensive visual documentation project. The Photographer, operating under the brand Studio Lumière Congo, shall provide full-time photographic coverage for the "Kinshasa Urban Development & Cultural Heritage" project, a multi-phase initiative commissioned by the Kinshasa Media & Production Services, SARL, to be executed within the city of Kinshasa, DR Congo, over a period of twelve (12) consecutive working days.

The Photographer is expected to deliver high-resolution digital imagery, editorial-quality prints, and a curated digital portfolio suitable for both print publication and digital distribution. All photographic work shall be conducted in compliance with the professional standards recognized by the Congolese Association of Professional Photographers (ACPF) and in accordance with the applicable regulations of the Ministry of Communication and Media of the DR Congo.

All prices are quoted in United States Dollars (USD). Payment shall be converted to Congolese Francs (CDF) at the official exchange rate published by the Banque Centrale du Congo (BCC) on the date of payment.

Payment for this Purchase Order shall be made in two (2) installments via bank transfer to the account specified in Section 1:

• First installment (50%): USD 7,006.40, due within five (5) business days of the Photographer's commencement of work on-site in Kinshasa.
• Second installment (50%): USD 7,006.40, due within ten (10) business days following the final delivery and written acceptance of all deliverables by the Project Manager of Kinshasa Media & Production Services, SARL.

Late payments shall attract a penalty of 1.5% per month, in accordance with the commercial code of the DR Congo. The Photographer is required to issue a valid tax invoice (facture) to the client prior to each payment.

1. The Photographer shall comply with all local laws and regulations of the Democratic Republic of the Congo, including but not limited to the Congolese Labour Code, the Intellectual Property Code, and the Media and Communication Act.
2. All photographic content produced under this Purchase Order shall be the exclusive property of Kinshasa Media & Production Services, SARL, upon full payment. The Photographer retains the right to display a limited selection (maximum 10 images) in a professional portfolio for self-promotion purposes, subject to prior written approval.
3. The Photographer shall carry valid professional liability insurance covering a minimum of USD 50,000 for the duration of the engagement in Kinshasa, DR Congo.
4. Any cancellation by the client more than seven (7) days before the start date shall result in a 10% cancellation fee. Cancellations within seven (7) days shall incur a 25% fee.
5. The Photographer shall deliver all digital files in a format compatible with Adobe Creative Suite and shall provide a written warranty that all images are original and free from third-party intellectual property claims.
6. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Kinshasa, DR Congo.
7. This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo.

This Purchase Order is issued and authorized by the undersigned on behalf of Kinshasa Media & Production Services, SARL, and is accepted by the Photographer, Studio Lumière Congo, for the provision of professional photographic services in Kinshasa, DR Congo.
