The Photographer is expected to deliver high-resolution editorial, documentary, and portrait photography capturing all major stages, vendor booths, cultural performances, and attendee interactions throughout the duration of the event in Egypt Alexandria.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services shall be rendered exclusively within the geographic boundaries of Egypt Alexandria unless otherwise agreed in writing.
2. The Photographer (Delta Lens Photography Studio) warrants that all personnel assigned to this contract hold valid professional photography licenses issued by the Egyptian Ministry of Culture and possess current civil liability insurance with a minimum coverage of EGP 2,000,000.
3. Payment terms: 40% advance payment (EGP 94,437.60) due within 5 business days of Purchase Order acceptance; 60% balance (EGP 141,656.40) due within 10 business days of final delivery acceptance. All payments shall be made via bank transfer to the Seller's account at CIB Bank, Egypt Alexandria branch.
4. The Photographer shall retain full intellectual property rights to raw images until final payment is received in full. Upon clearance of the outstanding balance, the Buyer shall receive an irrevocable, royalty-free license to reproduce, distribute, and publish all delivered images for commercial and promotional purposes related to the Alexandria Mediterranean Cultural Festival.
5. Any changes to scope, schedule, or deliverables must be documented through a written Change Order signed by both parties. Unauthorized modifications to this Purchase Order shall be void.
6. In the event of force majeure (including but not limited to severe weather conditions affecting the Egypt Alexandria coastline, government-mandated closures, or civil unrest), the Photographer shall notify the Buyer within 24 hours, and affected service days shall be rescheduled at no additional cost.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Egyptian Arbitration Law No. 27 of 1994, with the seat of arbitration in Egypt Alexandria. The governing law of this agreement is the law of the Arab Republic of Egypt.
8. The Photographer shall comply with all applicable data protection regulations of Egypt, including the Personal Data Protection Law No. 151 of 2020, when capturing images of identifiable individuals at the event venue in Egypt Alexandria.
9. Failure by the Photographer to meet the delivery schedule without approved cause shall result in a penalty of 2% of the total contract value per calendar day of delay, capped at 15% of the total value.
