1. Description of Purchase Order

This Purchase Order is issued by Nile Horizon Media & Events Ltd. to formally request and authorize the procurement of professional Photographer services to be rendered in Egypt Cairo. 3. Scope of Work and Deliverables

The Photographer engaged under this Purchase Order shall provide the following deliverables in Egypt Cairo:

• Full professional coverage of the "Nile Horizon Annual Gala 2025" scheduled for 22 June 2025, from 16:00 to 02:00 (Egypt Standard Time), at the Nile Ritz-Carlton ballroom and outdoor terrace in Egypt Cairo.
• A minimum of 300 edited, high-resolution images (minimum 3000px on the long edge) delivered within seven (7) business days of the event date.
• A selection of 50 hero images suitable for corporate marketing, press releases, and social media distribution, delivered within three (3) business days.
• Two (2) premium printed photo albums delivered to the Purchasing Party's office in Egypt Cairo within fourteen (14) business days.
• Full commercial usage rights for all delivered images, including print, digital, and broadcast media, for a period of five (5) years.

4. Payment Terms

Payment for this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the account of Cairo Lens Studio & Photography Co. The payment schedule is as follows:

• 50% Advance Payment (EGP 37,876.50): Due within five (5) business days of the acceptance of this Purchase Order, to be paid no later than 20 June 2025.
• 50% Balance Payment (EGP 37,876.50): Due within ten (10) business days following the final delivery and written acceptance of all deliverables by the Purchasing Party.

5. Terms and Conditions

1. This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier upon written acceptance by both parties. All services shall be performed exclusively in Egypt Cairo unless otherwise agreed in writing.
2. The Photographer shall arrive at the venue no later than one (1) hour before the scheduled start time. Failure to do so shall entitle the Purchasing Party to a 10% reduction in the total Purchase Order value per hour of delay.
3. The Photographer is responsible for all professional-grade camera equipment, lenses, lighting rigs, and backup storage media. All equipment must be insured for a minimum value of EGP 500,000.
4. The Photographer shall comply with all applicable laws and regulations of the Arab Republic of Egypt, including but not limited to the Egyptian Copyright Law (Law No. 82 of 2002) and local photography permits required in Egypt Cairo public and private spaces.
5. Any changes to the scope of work, schedule, or venue location within Egypt Cairo must be communicated in writing at least 48 hours in advance. Material changes may result in a revised Purchase Order.
6. The Supplier warrants that all delivered images are original works free from any third-party intellectual property claims. The Photographer shall indemnify the Purchasing Party against any infringement claims arising from the delivered materials.
7. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Egypt Cairo, or civil unrest.
8. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Egypt Cairo under the jurisdiction of the Egyptian legal system.
9. This Purchase Order is valid for thirty (30) days from the date of issue. If not accepted within this period, it shall automatically expire and require reissuance.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Photographer in Egypt Cairo.
