- Acceptance: This Purchase Order becomes binding upon written acceptance by the Photographer. The Photographer shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Performance Location: All photographic services shall be performed at the Grand Palais, 2 Avenue du Général Eisenhower, 75008 France Paris, or at such other location within France Paris as mutually agreed in writing by both parties.
- Delivery Schedule: The Photographer shall deliver all edited and finalised images no later than ten (10) business days following the event date. The printed photo album shall be delivered within twenty (20) business days.
- Payment Terms: A deposit of 40% of the total Purchase Order value (8,208.00 EUR TTC) is due upon acceptance. The remaining 60% (12,312.00 EUR TTC) shall be invoiced and paid within thirty (30) days of final delivery of all deliverables. Payment shall be made by bank transfer to the account specified by the Photographer.
- Intellectual Property: Upon full payment, all copyright and reproduction rights to the final images shall transfer to Lumière Corporate Events SARL. The Photographer retains the right to display a maximum of ten (10) images in their professional portfolio, subject to prior written approval from the Buyer.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all attendees, event details, and proprietary information encountered during the engagement in France Paris. A non-disclosure agreement (NDA) is attached as Annex A to this Purchase Order.
- Substitution: The Photographer named in this Purchase Order (Mme. Camille Fontaine) shall personally perform the lead photography. Any substitution of the Photographer or key assistants requires prior written consent from the Buyer.
- Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to severe weather affecting France Paris, civil unrest, or government-mandated closures.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Cancellation: Cancellation by the Buyer more than fourteen (14) days before the event date shall result in forfeiture of the deposit only. Cancellation within fourteen (14) days shall result in payment of 75% of the total Purchase Order value.
