Payment for this Purchase Order shall be made by bank transfer (SEPA-Überweisung) to the Photographer’s designated account. The total gross amount of EUR 14,696.50 is due within 30 calendar days from the date of invoice issuance, in accordance with § 286 BGB. A 50 % advance payment (EUR 7,348.25) is required upon acceptance of this Purchase Order to confirm the Photographer’s booking. The remaining 50 % balance shall be settled no later than 10 July 2025. Late payments shall incur statutory interest at the rate of 8 percentage points above the European Central Bank base rate for business-to-business transactions (§ 288 Abs. 2 BGB).
- Intellectual Property & Usage Rights: Upon full payment, the Photographer grants Meridian Corporate Communications GmbH an exclusive, perpetual, worldwide, royalty-free licence to use, reproduce, distribute, and display all delivered photographic images for corporate, marketing, and editorial purposes. The Photographer retains moral rights (Urheberpersönlichkeitsrecht) under German copyright law (Urheberrechtsgesetz, UrhG) and the right to credit as the Photographer in published materials.
- Model Releases: The Photographer is responsible for obtaining signed model release forms (Bilddatenschutz-Einwilligung) from all individuals photographed, in compliance with the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) and the EU General Data Protection Regulation (GDPR, DSGVO).
- Deliverables & Quality: All images shall be delivered in a minimum resolution of 300 DPI at print size, in both JPEG (sRGB) and TIFF (Adobe RGB) formats. The Photographer guarantees that all deliverables shall be free from technical defects and shall conform to the creative brief agreed upon in writing prior to each shoot.
- Cancellation & Rescheduling: Either party may cancel or reschedule a shoot date with a minimum of 72 hours’ written notice. Cancellations within 72 hours of the scheduled date shall incur a 50 % fee of the applicable line-item amount. Force majeure events (höhere Gewalt) are excluded from this penalty.
- Insurance & Liability: The Photographer shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 1,000,000 per occurrence for the duration of this Purchase Order. The Photographer shall indemnify the Buyer against any third-party claims arising from the Photographer’s negligence or breach of contract.
- Governing Law & Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Confidentiality: The Photographer agrees to treat all non-public information, trade secrets, and proprietary materials encountered during the execution of this Purchase Order as strictly confidential and shall not disclose them to any third party without prior written consent from the Buyer.
- Health & Safety: The Photographer shall comply with all applicable health and safety regulations in Germany Berlin, including but not limited to the Occupational Safety and Health Act (Arbeitsschutzgesetz, ArbSchG), when working on the Buyer’s premises or at event venues.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the engagement of the Photographer for the services described herein, to be performed in Germany Berlin.
