This Purchase Order authorises the engagement of the Photographer, Markus Steinbach, to deliver professional photography services for corporate events, product shoots, and executive portrait sessions conducted in Germany Frankfurt. All deliverables shall comply with the quality standards outlined in the attached Service Level Agreement (SLA) and German copyright law (Urheberrechtsgesetz).

1. This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt.
2. The Photographer shall deliver all final, edited images within fourteen (14) calendar days of each photography session. Late delivery beyond this window shall incur a penalty of 2% of the applicable line-item value per day of delay.
3. All intellectual property rights to the final delivered images shall transfer to Rhein-Main Corporate Events GmbH upon full payment. The Photographer retains the right to display a limited selection (maximum five images per event) in a professional portfolio, subject to prior written approval from the Buyer.
4. The Photographer must carry valid professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of €1,000,000 for the entire contract period. A certificate of insurance shall be provided prior to the first engagement in Germany Frankfurt.
5. Payment shall be made via bank transfer (SEPA) to the account specified on the Photographer's invoice. The Buyer reserves the right to withhold payment for any deliverables that do not meet the agreed quality specifications.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Photographer shall be compensated for all services rendered up to the effective date of termination.
7. All personal data processed in connection with this Purchase Order shall comply with the European General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG).
8. The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal communications observed during photography sessions in Germany Frankfurt.

All photography services under this Purchase Order shall be performed exclusively in Germany Frankfurt, including but not limited to the following venues: the Main Tower Conference Centre (Zeil 100), the Frankfurt Trade Fair grounds (Messegelände), and the Steinbach Visual Media studio at Bockenheimer Landstraße 118. Any additional locations within the Frankfurt metropolitan area (Frankfurt am Main, Offenbach, Eschborn, Bad Homburg) may be added by mutual written agreement. The Photographer is responsible for all local travel logistics within Germany Frankfurt and shall arrive at the designated venue no later than thirty (30) minutes before the scheduled start time.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for the engagement of the Photographer in Germany Frankfurt.
