This Purchase Order is issued by Bayerische Medien & Event GmbH to formally request and authorize the procurement of professional Photographer services to be rendered in Germany Munich for the upcoming corporate annual gala, product launch event, and associated editorial content production. The Photographer engaged under this Purchase Order shall deliver all photographic deliverables in accordance with the specifications outlined herein, ensuring compliance with German commercial photography standards and data protection regulations (GDPR) applicable within the Munich metropolitan area.

Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Photographer (Stefan Brandt Photography Studio) no later than 21 June 2025. Failure to confirm within this period shall render this Purchase Order void.
Service Delivery: All Photographer services shall be performed in Germany Munich or its immediate metropolitan area as specified in the line items above. The Photographer is responsible for all equipment, licensing, and professional insurance required to execute the engagement.
Payment Terms: A 40% advance payment (EUR 10,495.80) is due within 10 business days of Purchase Order acceptance. The remaining 60% (EUR 15,743.70) shall be invoiced within 5 business days following final delivery of all photographic assets and is payable within 30 days of invoice receipt via bank transfer to the account specified by the Photographer.
Deliverables & Timeline: The Photographer shall deliver all final, edited images in a secure digital format (minimum 300 DPI, TIFF and JPEG) within 14 business days of the final event date. The urgent same-day delivery (Item 07) is an exception and must be fulfilled within 24 hours as stated.
Intellectual Property: Upon full payment, all rights to the final photographic works shall transfer to Bayerische Medien & Event GmbH. The Photographer retains the right to display up to 10 images in a professional portfolio, subject to prior written approval from the Buyer.
Data Protection (GDPR): The Photographer shall comply with all applicable data protection regulations in Germany. No personal data of event attendees shall be stored, shared, or processed beyond the scope of this Purchase Order without explicit consent.
Cancellation & Rescheduling: Cancellation by the Buyer more than 14 days prior to the event date incurs a 25% fee. Cancellation within 14 days incurs a 50% fee. The Photographer may reschedule services with 72 hours' written notice due to force majeure events in Germany Munich.
Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health restrictions affecting Germany Munich.
Entire Agreement: This Purchase Order, together with any attached specifications and the Photographer's standard service agreement, constitutes the entire agreement between the parties. No modifications shall be valid unless made in writing and signed by both parties.
