- Advance Payment: 40% of the total Purchase Order value (INR 1,80,304) shall be paid within 5 business days of acceptance of this Purchase Order via NEFT/RTGS to the Photographer's designated bank account.
- Progress Payment: 30% (INR 1,35,228) shall be payable upon completion of the Corporate Headshot Photography and Product Launch Event Coverage deliverables, subject to client approval.
- Final Payment: The remaining 30% (INR 1,35,228) shall be paid within 10 business days of final delivery and acceptance of all remaining deliverables under this Purchase Order.
- All payments shall be made in Indian Rupees (INR) to the following account: LensCraft Visuals Studio, HDFC Bank, Indiranagar Branch, Bangalore, India. A/C No: 50100XXXXX1234, IFSC: HDFC0000123.
- Applicable TDS (Tax Deducted at Source) under Section 194C of the Income Tax Act, India, shall be deducted at the prevailing rate and deposited with the appropriate tax authority. A TDS certificate shall be provided to the Photographer within 30 days of the financial year-end.
- Corporate Headshot Photography: 16–18 June 2025 (3 days, 8 hours/day) at TechNova HQ, Bangalore, India.
- Product Launch Event Coverage: 25 June 2025 (single day, 8 hours) at Yeshwanth Stadium, Bangalore, India.
- Office & Workspace Photography: 28 June 2025 (single day, 6 hours) at TechNova HQ, Bangalore, India.
- Team Activity & Culture Shoot: 02 July 2025 (half day, 4 hours) at TechNova HQ, Bangalore, India.
- All edited and final images shall be delivered via secure cloud link within 72 hours of each respective shoot date.
- Post-production and retouching to be completed by 10 July 2025.
- This Purchase Order constitutes a binding agreement between TechNova Solutions Pvt. Ltd. and LensCraft Visuals Studio (the Photographer) for the photography services described herein, to be performed in India Bangalore.
- The Photographer shall bring all necessary professional equipment, including but not limited to DSLR/mirrorless cameras, lenses, lighting kits, reflectors, and backup storage media. All equipment must be insured.
- All intellectual property rights in the final delivered images shall vest exclusively with TechNova Solutions Pvt. Ltd. upon full payment. The Photographer retains the right to display a limited selection (maximum 10 images) in their professional portfolio with prior written consent.
- The Photographer shall comply with all applicable data protection and privacy regulations of India, including the Digital Personal Data Protection Act, 2023, when handling employee images and personal data.
- In the event of rescheduling due to force majeure (including but not limited to severe weather, government-mandated lockdowns in Bangalore, India, or natural disasters), both parties shall negotiate in good faith to reschedule within 14 calendar days without additional cost.
- Any dispute arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, India.
- This Purchase Order is governed by the laws of India. Any amendments must be made in writing and signed by authorized representatives of both parties.
- The Photographer shall maintain professional conduct on all premises of TechNova Solutions and shall adhere to the company's safety, security, and code-of-conduct policies during all shoots in India Bangalore.
- Failure to meet the delivery timeline without prior written approval from the client shall attract a penalty of 2% of the affected line-item value per day of delay, capped at 15% of the total Purchase Order value.
