This Purchase Order is issued by Apex Media Solutions Pvt. Ltd. to engage the services of a professional Photographer for a comprehensive corporate photography project to be executed in India Mumbai. The Photographer shall deliver high-resolution commercial and editorial photography as detailed below. All services under this Purchase Order are to be performed within the geographical boundaries of India Mumbai, including but not limited to the suburbs of Andheri, Bandra, Borivali, and the BKC commercial district.

Amount in Words: Rupees Six Lakh Ninety-Eight Thousand Five Hundred and Sixty Only.

The Photographer engaged under this Purchase Order shall be responsible for the following:

• Provide all professional-grade camera equipment, lenses, lighting rigs, and backdrops required for the shoot. The Photographer shall ensure all gear is insured and in working condition prior to each session in India Mumbai.
• Deliver minimum 3000x2000 pixel resolution images in both RAW and JPEG formats. All final deliverables shall be provided on a secure cloud drive within 7 working days of each shoot date.
• Conduct a pre-shoot consultation at the client's office in BKC, India Mumbai, to finalize mood boards, shot lists, and styling requirements.
• Assign a dedicated assistant to the Photographer for all multi-day events to ensure seamless coverage.
• Provide a minimum of 15% additional images beyond the contracted quantity at no extra cost.
• Comply with all local municipal permits and location access requirements applicable in India Mumbai for outdoor or public-space shoots.

• Advance Payment: 40% of the total Purchase Order value (INR 2,79,424) shall be paid within 5 working days of acceptance of this Purchase Order via NEFT/RTGS to the bank account of the Photographer as listed above.
• Interim Payment: 30% (INR 2,09,568) shall be disbursed upon delivery and client approval of 50% of the total image deliverables.
• Final Payment: The remaining 30% (INR 2,09,568) shall be paid within 15 working days of final delivery and written acceptance of all remaining images.
• All payments are subject to deduction of applicable TDS (Tax Deducted at Source) as per the Income Tax Act, 1961, applicable to service providers in India Mumbai.
• The Photographer shall issue a valid GST tax invoice for each payment tranche. No payment shall be processed without a valid invoice referencing this Purchase Order number.

• This Purchase Order constitutes a binding agreement between Apex Media Solutions Pvt. Ltd. and the named Photographer upon written acceptance. All terms are governed by the laws of the Republic of India, with jurisdiction vested in the courts of India Mumbai.
• The Photographer grants the client full, perpetual, and irrevocable commercial usage rights to all images produced under this Purchase Order. The Photographer retains the right to display selected images in a personal portfolio, subject to prior written approval from the client.
• Any change in scope, additional shoots, or revised timelines must be documented via a written amendment to this Purchase Order signed by both parties. Verbal modifications are not valid.
• The Photographer shall maintain professional indemnity insurance of not less than INR 50,00,000 for the duration of the engagement in India Mumbai.
• In the event of force majeure (including but not limited to severe monsoon weather common in India Mumbai, government-mandated lockdowns, or natural disasters), either party may suspend obligations with 48-hour written notice. The Purchase Order timeline shall be extended accordingly.
• The Photographer shall not subcontract any portion of the work without prior written consent from the client. Any unauthorized subcontracting shall render this Purchase Order void at the client's discretion.
• All personal data captured during the shoot (including employee images) shall be handled in compliance with the Digital Personal Data Protection Act, 2023, and applicable data privacy regulations in India Mumbai.
• Disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in India Mumbai. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

This Purchase Order is issued and authorized by the undersigned on behalf of Apex Media Solutions Pvt. Ltd. The Photographer is requested to confirm acceptance by signing and returning a copy of this document within 3 working days of receipt. Failure to respond within the stipulated period shall be construed as rejection of this Purchase Order.
