1. Validity: This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. The Photographer must confirm acceptance in writing within five (5) business days.
2. Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon delivery of 75% of all photographic deliverables, and the remaining 20% upon final acceptance. All payments shall be made via bank transfer to the Photographer's designated account in Indonesia Jakarta. Payment is due within fourteen (14) days of invoice receipt.
3. Deliverables: The Photographer shall deliver all final images in high-resolution TIFF format (minimum 6000 x 4000 pixels) and web-optimized JPEG format. A minimum of 800 usable, retouched images is expected across all line items. Deliverables must be submitted to the Artha Visual Media Solutions procurement team in Indonesia Jakarta no later than 28 July 2025.
4. Intellectual Property: Upon full payment, all copyrights and commercial usage rights to the final photographic works shall transfer to Artha Visual Media Solutions, PT. The Photographer retains the right to display the work in personal portfolios, subject to a 90-day embargo from the official publication date.
5. Compliance: The Photographer must comply with all applicable laws and regulations of the Republic of Indonesia, including but not limited to the Indonesian Copyright Law (UU No. 28 Tahun 2014), data privacy regulations (UU PDP), and local permits required for commercial photography in Indonesia Jakarta public spaces.
6. Insurance: The Photographer shall maintain comprehensive professional liability insurance with a minimum coverage of IDR 500,000,000 for the duration of the engagement in Indonesia Jakarta.
7. Subcontracting: The Photographer may not subcontract any portion of the work without prior written consent from the purchasing authority at Artha Visual Media Solutions, PT.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Photographer shall be compensated for all work completed and materials procured up to the termination date.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes shall be resolved through arbitration in Indonesia Jakarta under the rules of the Indonesian National Board of Arbitration (BANI).
