This Purchase Order is issued by Meridian Visual Communications Ltd. (hereinafter referred to as the "Buyer") to Tehran Lens Photography Studio (hereinafter referred to as the "Supplier") for the procurement of professional Photographer services to be performed in Iran Tehran. The Buyer requires the engagement of a qualified Photographer and supporting crew to execute a comprehensive commercial and editorial photography project covering cultural landmarks, corporate facilities, and lifestyle documentation within the Tehran metropolitan area. The Photographer shall be responsible for all creative direction, technical execution, post-production editing, and delivery of final image assets in accordance with the specifications outlined in this Purchase Order.

- Scope of Work: The Photographer engaged under this Purchase Order shall deliver all photographic content in accordance with the creative brief attached as Appendix A. All images must be captured at a minimum resolution of 6000 x 4000 pixels and delivered in both RAW and processed formats.
- Location & Jurisdiction: All on-site photography services shall be conducted within the city of Tehran, Islamic Republic of Iran. The Photographer and all supporting personnel must comply with all local laws, regulations, and cultural norms applicable in Iran Tehran. The Buyer shall not be held liable for any delays caused by local governmental restrictions or force majeure events within Iran Tehran.
- Intellectual Property: Upon full and final payment, all copyright and reproduction rights to the delivered images shall transfer to the Buyer. The Photographer retains the right to display a limited selection (no more than 10 images) in their professional portfolio, subject to prior written approval from the Buyer.
- Payment Schedule: A 40% advance payment ($8,208.00) shall be due within 10 business days of acceptance of this Purchase Order. The remaining 60% ($12,312.00) shall be due within 30 days of final delivery and acceptance of all image assets. Payments shall be made via international wire transfer in accordance with applicable sanctions and trade regulations.
- Delivery Timeline: The Photographer shall deliver a selection of 50 preview images within 5 business days of the final shoot day. The complete set of 200+ final edited images shall be delivered no later than July 20, 2025, via secure cloud transfer to the Buyer's designated server.
- Cancellation & Amendment: Either party may cancel this Purchase Order with 14 days written notice. Cancellation within 7 days of the scheduled shoot date in Iran Tehran shall incur a 50% penalty on the total contract value. Any amendments to scope, schedule, or deliverables must be documented in a written change order signed by both parties.
- Insurance & Liability: The Photographer shall maintain comprehensive professional liability insurance and equipment insurance for the duration of the project in Iran Tehran. The Supplier shall be responsible for any damage to property or injury to persons arising from the photography operations.
- Compliance: Both parties agree to comply with all applicable international trade laws, export control regulations, and financial compliance requirements. The Supplier warrants that all services rendered in Iran Tehran shall be conducted in full legal compliance with local and international law.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be Geneva, Switzerland. The governing language of this Purchase Order shall be English.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Photographer services to be performed in Iran Tehran.
