This Purchase Order is issued by Jerusalem Heritage Media Group Ltd. to Golden Light Photography Studio for the provision of professional Photographer services to be executed within the city of Israel Jerusalem and its surrounding districts. The Photographer shall deliver high-resolution editorial and documentary photography in accordance with the specifications outlined below.

Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Photographer (Golden Light Photography Studio). The Photographer acknowledges that all services shall be performed within the jurisdiction of Israel Jerusalem and in compliance with all applicable Israeli labor, tax, and intellectual property laws.
Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Photographer. Payment shall be processed via bank transfer to the account designated by the Photographer. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
Intellectual Property: Upon full payment, all copyrights and reproduction rights to the final photographic works shall transfer exclusively to Jerusalem Heritage Media Group Ltd. The Photographer retains the right to display up to ten (10) images in a personal portfolio for non-commercial purposes, subject to prior written approval from the buyer.
Location & Permits: The Photographer is responsible for obtaining all necessary filming and photography permits required by the Israel Police, the Jerusalem Municipality, and the Israel Antiquities Authority for any location within Israel Jerusalem. All permit fees are included in the unit prices stated in Section 3.
Insurance: The Photographer shall maintain comprehensive professional liability insurance with a minimum coverage of ILS 1,000,000 and equipment insurance for all gear used during the engagement in Israel Jerusalem. Certificates of insurance shall be provided prior to the commencement of work.
Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all client information, unpublished content, and proprietary materials encountered during the execution of this Purchase Order. This obligation shall survive for a period of three (3) years following the completion of all deliverables.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government restrictions, or civil unrest affecting the Israel Jerusalem area. Affected parties must notify the other within forty-eight (48) hours of the occurrence.
Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Photographer shall be compensated for all services rendered and expenses incurred up to the date of termination, pro-rated accordingly.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
Compliance: The Photographer warrants that all services provided under this Purchase Order shall comply with the Israeli Privacy Protection Law, 5741-1981, and the Copyright Law, 5778-2007. No images of identifiable private individuals shall be published without their written consent.
