The Photographer shall deliver all work in accordance with the specifications, timelines, and quality standards outlined in this document. All services are to be performed within the metropolitan area of Israel Tel Aviv, including but not limited to the neighborhoods of Florentin, Neve Tzedek, Jaffa, and the Tel Aviv Port district.

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Photographer (Yossi Ben-Ami Photography Studio) by signing and returning a copy to the buyer no later than 21 June 2025. Failure to respond within this period shall render this Purchase Order void.
2. Performance Location: All photographic services shall be performed in Israel Tel Aviv unless otherwise agreed in writing. The Photographer is responsible for obtaining any municipal permits required by the Tel Aviv-Yafo Municipality for shooting in public or heritage-designated areas.
3. Deliverables and Format: The Photographer shall deliver all final images in a minimum resolution of 6000 × 4000 pixels, in both TIFF (for print) and JPEG (for digital) formats, organized in clearly labeled folders per project. A secure download link valid for 90 days shall be provided.
4. Intellectual Property: Upon full payment, all copyrights and reproduction rights to the final delivered images shall transfer to Levant Media & Communications Ltd. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio, subject to prior written approval from the buyer.
5. Payment Schedule: A 40% advance payment (18,219.20 ILS incl. VAT) is due within 7 business days of Purchase Order acceptance. The remaining 60% (27,328.80 ILS incl. VAT) is due within 30 days of final delivery and written acceptance of all deliverables. Payment shall be made via bank transfer to the account specified by the Photographer.
6. Revisions: The Photographer shall include up to two (2) rounds of minor retouching revisions per project at no additional cost. Additional revision requests beyond this scope will be billed at 350 ILS per hour.
7. Cancellation and Force Majeure: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation by the buyer after the Photographer has commenced preparation, the buyer shall pay for all services rendered and non-recoverable expenses up to the date of cancellation. Force majeure events, including but not limited to government-mandated closures in Israel Tel Aviv, shall suspend obligations without penalty.
8. Insurance and Liability: The Photographer shall maintain comprehensive professional liability insurance and equipment insurance throughout the engagement period. The Photographer shall be liable for any damage to the buyer's property or premises caused during the course of the photographic sessions.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel.
10. Confidentiality: The Photographer agrees to treat all non-public information, trade secrets, and proprietary materials encountered during the engagement as strictly confidential and shall not disclose them to any third party without the buyer's prior written consent.
