The Photographer is engaged to capture high-resolution editorial, commercial, and architectural imagery for the Buyer's upcoming corporate branding campaign, product catalogue, and institutional annual report. All photographic work under this Purchase Order must be executed in Italy Milan, and the Photographer is expected to demonstrate intimate knowledge of the city's lighting conditions, iconic landmarks, and cultural aesthetic to ensure the final deliverables meet the Buyer's exacting standards.

- Scope of Work: The Photographer shall perform all services described in this Purchase Order within the geographical boundaries of Italy Milan unless otherwise agreed in writing by both parties. The Photographer is responsible for bringing all necessary equipment, including but not limited to professional-grade cameras, lenses, lighting rigs, reflectors, and drone apparatus.
- Intellectual Property: Upon full and final payment of the total amount stated in this Purchase Order, all copyrights, reproduction rights, and commercial usage rights to the final photographic deliverables shall transfer exclusively to the Buyer. The Photographer retains the right to display a limited selection (no more than 10 images) in a personal portfolio for non-commercial purposes, subject to prior written approval from the Buyer.
- Payment Terms: Payment shall be made via bank transfer (IBAN: IT60 X054 2811 1000 0000 0000 000) within thirty (30) calendar days from the date of invoice issuance. A 40% advance payment is due upon acceptance of this Purchase Order, and the remaining 60% is due upon delivery and acceptance of all final edited images.
- Delivery Schedule: The Photographer shall deliver all raw and edited files in a secure cloud-based repository within fifteen (15) business days of the final shooting day in Italy Milan. The Buyer shall have ten (10) business days to review and request up to one round of revisions.
- Compliance with Local Regulations: The Photographer shall ensure full compliance with all Italian and Lombardy regional regulations governing commercial photography in public spaces within Italy Milan, including obtaining any necessary permits from the Comune di Milano (Municipality of Milan) for shooting in protected heritage zones.
- Insurance: The Photographer shall maintain valid professional liability insurance with a minimum coverage of EUR 1,000,000 for the entire duration of the engagement in Italy Milan. A certificate of insurance shall be provided to the Buyer prior to the commencement of work.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to severe weather conditions affecting outdoor photography in Italy Milan, government-mandated closures, or public health emergencies.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Italy Milan.
- Confidentiality: The Photographer agrees to treat all proprietary information, trade secrets, and unpublished materials of the Buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Photographer shall deliver all work-in-progress materials.
