1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by Vesuvio Events & Productions S.r.l. to formally request and authorize the procurement of professional photography services from Luce di Napoli Photography Studio. The Photographer engaged under this Purchase Order shall provide comprehensive visual documentation for the "Naples Heritage & Culture Festival 2025," a three-day event scheduled to take place in the historic center of Italy Naples, specifically at the Spaccanapoli corridor, the Piazza del Plebiscito, and the waterfront promenade of Mergellina. The Photographer is expected to deliver a complete portfolio of high-resolution images, edited video highlights, and print-ready materials in accordance with the specifications outlined in this Purchase Order.

- Payment Terms: A 40% advance payment (EUR 9,686.80) shall be due within 10 business days of the acceptance of this Purchase Order. The remaining 60% (EUR 14,530.20) shall be settled within 30 days of final delivery of all photographic and video assets.
- Delivery Schedule: The Photographer shall deliver a curated selection of 100 preview images within 72 hours of the conclusion of each shooting day. The complete set of 500+ final images and the 5-minute video reel shall be delivered no later than 14 calendar days after the final day of the event in Italy Naples.
- Intellectual Property: Upon full payment, all rights to the final images, video footage, and prints shall transfer exclusively to Vesuvio Events & Productions S.r.l. The Photographer retains the right to use up to 15 images for personal portfolio and promotional purposes, provided that prior written notice is given to the Purchasing Party.
- Compliance and Permits: The Photographer is responsible for obtaining all necessary permits, including but not limited to drone operation licenses from ENAC (Ente Nazionale per l'Aviazione Civile) and location authorization from the Comune di Napoli for shooting in public spaces within Italy Naples.
- Substitution: The named Lead Photographer, Mr. Alessandro De Luca, shall personally perform the primary shooting duties. Any substitution requires prior written approval from the Purchasing Party and must be matched in experience and portfolio quality.
- Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to severe weather conditions affecting the Naples coastline, public health emergencies, or government-mandated closures of public venues in Italy Naples.
- Confidentiality: The Photographer and all associated personnel shall treat all event details, attendee identities, and proprietary content as strictly confidential. No images or footage may be published, shared, or distributed prior to the official launch of the Naples Heritage & Culture Festival 2025.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Naples, Italy, in accordance with Italian civil law (Codice Civile). The competent court shall be the Tribunale di Napoli.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic.
