Scope of Work & Photographer Obligations
This Purchase Order is issued by Sahel Media & Communications SARL to engage the services of L'Atelier Lumière Photographique, a registered professional Photographer operating in Ivory Coast Abidjan, for the comprehensive visual documentation and imaging services described above. The Photographer shall provide all necessary equipment, including but not limited to professional-grade DSLR and mirrorless cameras, lighting rigs, lenses, and post-production software. All photographic deliverables must be provided in both RAW and high-resolution JPEG formats within fourteen (14) business days of each shooting session. The Photographer is responsible for obtaining any required location permits within the Abidjan metropolitan area and ensuring compliance with all applicable photography regulations in the Republic of Côte d'Ivoire.
Terms and Conditions
- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Photographer upon written acceptance. The Photographer must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- All services shall be performed in Ivory Coast Abidjan unless otherwise specified in the line items. The Photographer warrants that all work will be conducted in accordance with the professional standards of the Ivorian photography industry and applicable national regulations.
- Payment shall be made via bank transfer to the account designated by the Photographer. Invoices must reference this Purchase Order number (IV-ABJ-2025-04782) and include the Photographer's NIF for tax compliance in Ivory Coast.
- The Photographer grants the Purchasing Party full commercial usage rights to all images produced under this Purchase Order. The Photographer retains portfolio rights for self-promotional purposes only, subject to prior written approval for any sensitive corporate imagery.
- Any changes to scope, schedule, or deliverables must be documented in a written amendment to this Purchase Order, signed by both parties. No verbal modifications shall be binding.
- In the event of force majeure (including but not limited to severe weather, civil unrest, or government-mandated closures in Abidjan, Ivory Coast), either party may suspend performance without penalty, provided written notice is given within 48 hours.
- This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
- The Photographer shall maintain professional liability insurance with a minimum coverage of 10,000,000 XOF for the duration of this engagement.
- Confidentiality: The Photographer agrees to treat all proprietary information, trade secrets, and internal business data encountered during the execution of this Purchase Order as strictly confidential and shall not disclose such information to any third party without written consent.
- Failure to meet the required delivery date without approved extension shall result in a penalty of 2% of the total Purchase Order value per day of delay, capped at 15% of the total value.
