This Purchase Order is issued by Osaka Creative Media Group K.K. to formally engage the services of a professional Photographer for a comprehensive commercial and editorial photography project to be executed within the Japan Osaka metropolitan area. The Photographer shall deliver high-resolution imagery, on-site direction, and post-production editing in accordance with the specifications outlined in this Purchase Order. All services shall be performed in compliance with Japanese commercial photography regulations and the intellectual property laws of Japan.

1. Scope of Work: The Photographer shall perform all photography services exclusively within the Japan Osaka metropolitan area as specified in the line items above. Any additional locations outside of Japan Osaka require a written amendment to this Purchase Order.
2. Photographer Qualifications: The Photographer must hold a valid Japanese commercial photography license, carry professional liability insurance of no less than 50,000,000 JPY, and possess a JCAA drone operator certification for aerial work. Proof of qualifications must be submitted prior to the commencement of services.
3. Intellectual Property: Upon full payment, all final images, raw files, and associated copyrights shall transfer to the Buyer. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio, subject to the Buyer's written approval.
4. Schedule and Deliverables: The Photographer shall adhere to the shooting schedule agreed upon in the attached Appendix A. Final edited images shall be delivered via secure cloud transfer within ten (10) business days of the last shooting day in Japan Osaka.
5. Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Photographer. Payment shall be processed via bank transfer to the account designated by Miyamoto Visual Arts Studio. Late payments shall incur a penalty of 1.5% per month as per Japanese commercial practice.
6. Cancellation and Force Majeure: Either party may cancel this Purchase Order with fourteen (14) days written notice. In the event of force majeure (including but not limited to natural disasters common to the Japan Osaka region such as typhoons or earthquakes), the affected party shall notify the other within 48 hours, and the schedule shall be adjusted accordingly without penalty.
7. Compliance: The Photographer shall comply with all applicable Japanese laws, including the Act on the Protection of Personal Information (APPI), local Osaka municipal filming permit regulations, and copyright law. All models and subjects photographed in Japan Osaka shall provide signed release forms in Japanese and English.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Osaka, Japan, under the rules of the Japan Commercial Arbitration Association.
9. Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. If services are not commenced within this period, the Buyer reserves the right to void this Purchase Order without obligation.
