The Photographer engagement in Japan Tokyo shall include, but not be limited to: keynote speaker portraits, panel discussion coverage, attendee networking photography, product demonstration stills, venue architectural shots, and a full video timelapse of the opening ceremony. All work must be performed within the Japan Tokyo metropolitan area, with the primary shooting location at the Tokyo International Forum and secondary locations in the Shinjuku and Shibuya districts for supplementary editorial content.

• Payment Method: Bank transfer to Sakura Lens Photography Studio K.K., Mizuho Bank, Aoyama Branch, Account No. 442-118-903.
• Deposit: 40% of the total Purchase Order value (JPY 1,254,000) due within 5 business days of Purchase Order acceptance.
• Balance: 60% of the total Purchase Order value (JPY 1,881,000) due within 14 calendar days of final deliverable acceptance.
• Currency: All amounts are denominated in Japanese Yen (JPY). No foreign exchange adjustments shall apply.
• Late Payment: A penalty of 1.5% per month shall be applied to any overdue balance beyond the due date specified in this Purchase Order.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon written acceptance by both parties. All services described herein shall be performed exclusively within the Japan Tokyo metropolitan area unless otherwise agreed in writing.
2. The Photographer and all supporting personnel must comply with all applicable Japanese laws and regulations, including but not limited to the Personal Information Protection Act (APPI) of Japan, regarding the capture and handling of attendee imagery in Japan Tokyo.
3. The Photographer warrants that all delivered images are original works, free from any third-party intellectual property claims, and that all model releases and venue permissions have been obtained prior to the Japan Tokyo event.
4. The Buyer reserves the right to request up to two (2) rounds of revisions on edited images at no additional cost. Further revisions shall be billed at JPY 1,200 per image.
5. In the event of force majeure (including but not limited to natural disasters common to Japan Tokyo such as typhoons or seismic activity), either party may suspend obligations with 48-hour written notice. The Purchase Order timeline shall be extended accordingly.
6. All disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, under the rules of the Japan Commercial Arbitration Association (JCAA).
7. This Purchase Order is governed by the laws of Japan. The venue for any legal proceedings shall be the Tokyo District Court.
8. The Photographer shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000 for the duration of the engagement in Japan Tokyo.
9. Confidentiality: All information pertaining to the Japan Tokyo event, including attendee identities, trade secrets, and unpublished product information, shall be treated as strictly confidential by the Photographer and their team.

By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and deliverables specified in this Purchase Order for the Photographer services to be rendered in Japan Tokyo. This document, together with the attached Statement of Work, forms the complete and exclusive agreement between the parties regarding the subject matter herein.
