This Purchase Order is issued by Al-Nakheel Corporate Events & Communications LLC to formally engage the services of a professional Photographer for the annual "Kuwait Business Excellence Gala 2025," to be held at the Kuwait City Convention Centre, Kuwait, Kuwait City, on 28 June 2025. The Photographer shall be responsible for capturing all official, candid, and promotional imagery throughout the event, including the red-carpet arrival, keynote presentations, panel discussions, networking sessions, and the closing awards ceremony.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Photographer (Desert Lens Photography Studio) upon signature by both parties. All services shall be rendered in accordance with the scope defined in Section 3 and applicable Kuwaiti commercial law.
2. The Photographer shall arrive at the Kuwait City Convention Centre no later than 14:30 on 28 June 2025 for equipment setup, lighting calibration, and a brief coordination meeting with the Buyer's event coordinator.
3. All photographic content captured during the event in Kuwait, Kuwait City, shall be the exclusive intellectual property of Al-Nakheel Corporate Events & Communications LLC. The Photographer retains the right to use up to five (5) images in a personal portfolio with prior written consent from the Buyer.
4. Payment of the full amount of KWD 1,790.250 shall be made via bank transfer to the account specified by the Photographer within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the Net 30 payment terms stated in this Purchase Order.
5. The Photographer is required to carry valid professional liability insurance with a minimum coverage of KWD 50,000 for the duration of the engagement in Kuwait, Kuwait City. A certificate of insurance shall be provided to the Buyer no later than 5 June 2025.
6. In the event of cancellation by the Buyer more than fourteen (14) days prior to the service date, a cancellation fee of 25% of the total Purchase Order value shall apply. Cancellations within fourteen days shall incur a 50% fee. Cancellations by the Photographer without valid cause shall result in a full refund of any advance payment plus a 10% penalty.
7. The Photographer shall comply with all Kuwaiti data protection regulations and shall not share, sell, or distribute any attendee images without explicit written authorization from the Buyer.
8. Any changes to the scope of services, additional shooting hours, or revised deliverables must be documented in a written amendment to this Purchase Order and signed by both parties before execution.
9. This Purchase Order is governed by the laws of the State of Kuwait. Any disputes arising from this agreement shall be resolved through the competent courts in Kuwait, Kuwait City.

The Photographer shall deliver the final edited image package (up to 350 high-resolution files in both RAW and JPEG formats) via a secure, password-protected cloud link within ten (10) business days following the event date. The Buyer shall have five (5) business days from the date of delivery to review and accept the final product. Failure to communicate any objections within this acceptance window shall constitute deemed acceptance of the deliverables under this Purchase Order.
