This Purchase Order is issued by Meridian Events & Media Sdn. Bhd. to formally engage the services of a professional Photographer and associated visual media team for the coverage of the "Kuala Lumpur International Business Summit 2025," to be held at the Kuala Lumpur Convention Centre, Malaysia Kuala Lumpur, from 22 to 24 August 2025. This Purchase Order constitutes a binding agreement between both parties for the scope of photographic services, deliverables, compensation, and all associated terms as outlined herein. The Photographer and their team shall be responsible for capturing high-resolution still images, candid event photography, and professional portrait sessions of all keynote speakers, delegates, and VIP attendees throughout the three-day event in Malaysia Kuala Lumpur.

The total amount of this Purchase Order shall be paid in the Malaysian Ringgit (MYR) via bank transfer to the account of LensCraft Visual Studios Sdn. Bhd. The payment schedule is as follows:

• 50% Advance Payment (MYR 35,370.00): Due within 7 (seven) working days from the date of this Purchase Order to confirm the booking of the Photographer team.
• 30% Progress Payment (MYR 21,222.00): Due upon completion of Day 2 of the event coverage in Malaysia Kuala Lumpur.
• 20% Final Payment (MYR 14,148.00): Due within 14 (fourteen) working days from the delivery and acceptance of all final edited images and printed materials.

All digital image files (minimum 2,000 final retouched images in JPEG and RAW formats) shall be delivered via a secure cloud-based platform within 21 (twenty-one) calendar days from the conclusion of the event. The printed photo albums shall be delivered to the office of Meridian Events & Media Sdn. Bhd. at Menara Maxis, Malaysia Kuala Lumpur, within 30 (thirty) calendar days. The Buyer shall have 5 (five) working days to inspect and accept or reject the deliverables. Any rejected items must be rectified by the Photographer at no additional cost within 7 (seven) working days.

1. This Purchase Order is governed by the laws of Malaysia and shall be interpreted in accordance with the Contracts Act 1950 of Malaysia.
2. The Photographer and their team shall comply with all applicable Malaysian regulations, including the Personal Data Protection Act 2010 (PDPA), when capturing and processing images of individuals in Malaysia Kuala Lumpur.
3. All intellectual property rights in the final delivered images shall transfer to Meridian Events & Media Sdn. Bhd. upon full payment. The Photographer retains the right to use up to 10 (ten) images for personal portfolio purposes with prior written consent.
4. The Photographer shall carry valid professional indemnity insurance with a minimum coverage of MYR 1,000,000 for the duration of the engagement in Malaysia Kuala Lumpur.
5. Any cancellation by the Buyer more than 30 days before the event shall result in a 25% penalty on the total Purchase Order value. Cancellation within 30 days shall result in a 50% penalty.
6. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Malaysia Kuala Lumpur, shall exempt both parties from liability for non-performance.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur before proceeding to the courts of competent jurisdiction in Malaysia.
8. The Photographer shall maintain a professional and respectful conduct at all times during the event and shall adhere to the venue's rules and regulations at the Kuala Lumpur Convention Centre.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Photographer services in Malaysia Kuala Lumpur.
