1. Acceptance: This Purchase Order constitutes a formal offer to purchase the Photographer services described herein. The Photographer, Te Whare o te Aro Photography Co., shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order void.

2. Performance Location: All on-site services shall be performed at the Wellington Convention and Exhibition Centre, 2 The Terrace, Wellington, New Zealand. The Photographer is expected to arrive no later than 9:00 AM on 28 June 2025 for setup, lighting assessment, and coordination with the event production team.

3. Payment: Payment of the full Grand Total of NZD 12,017.50 (inclusive of 15% GST) shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Photographer. Payment shall be made via bank transfer to the account details provided on the invoice. Late payments shall attract interest at the rate of 1.5% per month as permitted under the New Zealand Consumer Guarantees Act 1993 and applicable commercial law.

4. Intellectual Property & Usage Rights: Upon full and final payment, the Purchasing Entity shall receive a non-exclusive, perpetual, worldwide licence to use, reproduce, and distribute the final edited images for internal corporate communications, press releases, social media, and marketing materials. The Photographer retains the right to display a limited selection of images in their professional portfolio and on their website, provided the Purchasing Entity is credited as the client and the event is identified as taking place in New Zealand Wellington.

5. Cancellation & Rescheduling: The Purchasing Entity may cancel this Purchase Order with a minimum of fourteen (14) days' written notice prior to the event date, in which case a cancellation fee of 25% of the total contract value shall apply. Cancellations within fourteen (14) days of the event date shall incur a 50% cancellation fee. The Photographer may reschedule the event date by mutual written agreement, with no additional charge for rescheduling within a 30-day window.

6. Insurance & Liability: The Photographer shall maintain, at their own cost, professional public liability insurance with a minimum coverage of NZD 10,000,000, valid throughout the duration of the engagement in New Zealand Wellington. A certificate of insurance shall be provided to the Purchasing Entity no later than seven (7) days prior to the event date. The Photographer shall be responsible for any damage to the Purchasing Entity's property or the venue caused by the Photographer or their equipment.

7. Confidentiality: The Photographer acknowledges that they may be exposed to confidential business information during the event. All such information shall be treated in strict confidence and shall not be disclosed to any third party without prior written consent from the Purchasing Entity. This obligation shall survive the completion of this Purchase Order for a period of two (2) years.

8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the laws applicable in the region of Wellington. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Wellington, New Zealand.

9. Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters (including earthquakes, tsunamis, or volcanic activity relevant to New Zealand Wellington), government-mandated closures, or acts of God.
