Acceptance: This Purchase Order constitutes a formal and binding request for services. The Photographer (Okafor Visual Studios) must confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
Payment Terms: A fifty percent (50%) advance payment of NGN 1,010,500 shall be remitted to the Photographer's designated bank account within three (3) business days of confirmed acceptance. The remaining fifty percent (50%) balance of NGN 1,010,500 shall be paid within fourteen (14) calendar days following the satisfactory delivery and approval of all final deliverables.
Delivery Schedule: The Photographer shall deliver a curated selection of at least 200 edited, high-resolution images (minimum 3000 pixels on the long edge, JPEG and RAW formats) within seven (7) business days of the event's conclusion. Framed prints and the digital photo album shall be delivered within twenty-one (21) calendar days.
Location and Access: All photographic services under this Purchase Order shall be conducted at the International Conference Centre (ICC), Nigeria Abuja, and such other locations within the Federal Capital Territory as may be reasonably required. The Photographer shall comply with all venue access protocols and security requirements of the ICC, Nigeria Abuja.
Intellectual Property: Upon full and final payment, all rights, title, and interest in the delivered photographs, including the right to reproduce, distribute, and display the images for corporate, promotional, and archival purposes, shall vest exclusively in Abuja Media & Events Solutions Ltd. The Photographer retains the right to use a maximum of ten (10) images for personal portfolio and marketing purposes, subject to prior written approval from the client.
Cancellation and Rescheduling: Should the client need to cancel or reschedule the event, the Photographer must be notified no less than fourteen (14) days in advance. In the event of cancellation within fourteen (14) days, the advance payment shall be non-refundable. In the event of rescheduling, the Photographer shall accommodate one (1) date change at no additional cost.
Equipment and Insurance: The Photographer shall provide all necessary professional-grade camera equipment, lenses, lighting, and backup storage media. The Photographer shall maintain valid professional liability insurance covering a minimum of NGN 10,000,000 for the duration of the engagement in Nigeria Abuja.
Compliance with Nigerian Law: All services rendered under this Purchase Order shall comply with the laws of the Federal Republic of Nigeria, including but not limited to the Nigeria Data Protection Regulation (NDPR) 2019, the Federal Competition and Consumer Protection Act 2018, and all applicable tax obligations of the Federal Capital Territory, Nigeria Abuja.
Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Should negotiation fail, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Abuja.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government actions, civil unrest, or pandemics affecting operations in Nigeria Abuja.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Photographer for the Annual Corporate Leadership Summit 2025 in Nigeria Abuja.
