The Photographer shall deliver all services in accordance with the specifications, timelines, and quality standards outlined in this Purchase Order and the attached Statement of Work.

1. Scope of Work: The Photographer shall provide all professional photography services as described in this Purchase Order. All shoots shall be conducted within the Philippines Manila metropolitan area unless otherwise agreed in writing by both parties.
2. Delivery Schedule: The Photographer shall deliver all edited and finalized images within fifteen (15) business days from the completion of each respective shoot. Raw files shall be delivered within five (5) business days.
3. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice receipt. Payment shall be processed via bank transfer to the account designated by the Photographer. All payments are subject to the standard withholding tax applicable under Philippine tax law.
4. Intellectual Property: Upon full payment, all final edited images and raw files shall become the exclusive property of Meridian Creative Solutions Inc. The Photographer retains the right to use up to ten (10) select images for personal portfolio purposes, provided that prior written approval is obtained from the client.
5. Cancellation and Rescheduling: Either party may cancel or reschedule a shoot with a minimum of seventy-two (72) hours written notice. Cancellations within seventy-two (72) hours of the scheduled shoot date shall incur a 50% fee of the day's rate. This Purchase Order shall remain valid for rescheduling within the validity period stated above.
6. Equipment and Insurance: The Photographer shall provide all necessary professional-grade cameras, lenses, lighting equipment, and accessories. The Photographer shall maintain valid professional liability insurance with a minimum coverage of PHP 5,000,000 for all operations conducted in Philippines Manila.
7. Compliance: The Photographer shall comply with all applicable laws and regulations of the Republic of the Philippines, including but not limited to the Data Privacy Act of 2012 (RA 10173) for any images containing identifiable individuals, and local ordinances of the City of Manila and the National Capital Region.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to typhoons, earthquakes, government-mandated closures, or public health emergencies affecting the Philippines Manila area.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through arbitration in Philippines Manila in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
10. Entire Agreement: This Purchase Order, together with any attached exhibits and the Statement of Work, constitutes the entire agreement between the parties regarding the engagement of the Photographer and supersedes all prior negotiations, representations, or agreements.

This Purchase Order is authorized and approved by the undersigned officers of Meridian Creative Solutions Inc. for the engagement of the Photographer for the services described herein, to be performed in Philippines Manila and its surrounding areas.
