- Advance Payment: 40% of the total Purchase Order value (RUB 868,800) shall be transferred within 5 business days of mutual signature of this Purchase Order to the Photographer's designated account at Sberbank, Branch Saint Petersburg, Account No. 40802810100000012345, BIC: SABRRU33S01.
- Progress Payment: 30% (RUB 651,600) shall be due upon completion and Buyer's written acceptance of Items 01 through 04.
- Final Payment: The remaining 30% (RUB 651,600) shall be due within 10 business days of final delivery of all deliverables, including post-production files and the drone footage package.
- All payments shall be made in Russian Rubles (RUB) via bank transfer. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under Article 317.1 of the Civil Code of the Russian Federation.
- This Purchase Order constitutes a binding agreement between the Buyer and the Photographer upon signature by both parties. All services shall be performed in full compliance with the laws of the Russian Federation, including but not limited to the Federal Law on Advertising (No. 38-FZ) and the Civil Code provisions on service contracts (Chapter 39).
- The Photographer warrants that all equipment used in Russia Saint Petersburg shall be in proper working condition and that all necessary permits for location shooting, drone operation, and commercial use of images of identifiable persons (model releases) shall be obtained at the Photographer's expense prior to commencement of work.
- Intellectual property: Upon full payment, all final images, raw files, and derivative works shall become the exclusive property of the Buyer. The Photographer retains the right to display up to 10 images in a personal portfolio, subject to the Buyer's prior written approval and a 30-day embargo period.
- The Photographer shall maintain professional liability insurance with a minimum coverage of RUB 5,000,000 for the duration of the engagement in Russia Saint Petersburg.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions affecting outdoor shoots in Saint Petersburg, government-mandated closures, or civil unrest. Affected parties must notify the other within 48 hours.
- Disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Saint Petersburg, Russian Federation, in accordance with the applicable procedural rules.
- This Purchase Order is governed by the laws of the Russian Federation. Any amendments must be made in writing and signed by both parties.
