This Purchase Order is issued by Al-Markaz Media & Events Co. Ltd. to formally engage the services of a professional Photographer and associated photography team for a corporate event and product photography campaign to be conducted in Saudi Arabia Jeddah. The Photographer and their team shall deliver all photographic deliverables in accordance with the specifications outlined in this document and the attached Statement of Work (SOW-2025-114). - Scope of Work: The Photographer and the full photography team engaged under this Purchase Order shall perform all duties as described in the line items above and in the attached Statement of Work. Any additional services beyond the scope defined herein shall require a written amendment to this Purchase Order signed by both parties.
- Location of Services: All on-site photography sessions, studio shoots, and related activities shall be conducted within the city of Jeddah, Saudi Arabia. The Photographer is responsible for obtaining any necessary local permits, venue access clearances, and CMA drone operation licenses prior to the commencement of services.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the supplier. Payment shall be processed via bank transfer to the supplier's designated account in Saudi Riyal (SAR). The total amount due under this Purchase Order is SAR 74,462.50, inclusive of 15% Value Added Tax as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
- Deliverables & Acceptance: The Photographer shall deliver all final, edited, and high-resolution images in TIFF and JPEG formats via a secure cloud link within the timelines specified in the line items. The Buyer shall have ten (10) business days from the date of delivery to inspect and accept or reject the deliverables. Rejection must be communicated in writing with specific reasons for non-conformance.
- Intellectual Property: Upon full and final payment, all copyrights and reproduction rights to the final photographic images shall transfer to the Buyer. The Photographer retains the right to display a limited selection of images in their professional portfolio, subject to the Buyer's prior written approval and any non-disclosure obligations.
- Confidentiality: The Photographer and all team members shall sign a Non-Disclosure Agreement (NDA) prior to the event. No images, footage, or behind-the-scenes material from the corporate event may be published, shared, or distributed on social media or any public platform without the express written consent of the Buyer.
- Compliance & Legal: All services rendered under this Purchase Order shall comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Commercial Transactions Law, and the Personal Data Protection Law (PDPL). The Photographer shall ensure that all team members hold valid Iqama (residency) permits and work authorizations if applicable.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Saudi Arabia Jeddah or the broader Kingdom.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the competent courts of Jeddah, Saudi Arabia, in accordance with the applicable laws of the Kingdom.
- Validity: This Purchase Order is valid for acceptance until 15 July 2025. If not accepted by the supplier within this period, the Purchase Order shall be considered void and may be reissued at the Buyer's discretion.
