This Purchase Order constitutes a binding agreement between the Buyer and the Photographer for the scope of work, compensation, and deliverables outlined herein.

- Scope of Work: The Photographer shall perform all photographic services exclusively within the boundaries of Senegal Dakar and its immediate periphery as specified in Section 4. Any additional locations or extended sessions beyond the scope of this Purchase Order shall require a written amendment signed by both parties.
- Delivery Schedule: All final edited images shall be delivered to the Buyer via secure cloud transfer within fourteen (14) calendar days of the completion of the final shoot day. The express delivery item (Ref 06) shall be fulfilled within forty-eight (48) hours of the request.
- Intellectual Property: Upon full payment, all rights to the final delivered images shall transfer to the Buyer. The Photographer retains the right to display up to ten (10) images in a personal portfolio, provided the Buyer is credited as the commissioning client in Senegal Dakar.
- Payment: Payment shall be made via bank transfer to the account of Ndiaye Visual Studio within thirty (30) days of the date of this Purchase Order. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Senegalese commercial law.
- Cancellation: Either party may cancel this Purchase Order with a minimum of seven (7) days written notice. In the event of cancellation by the Buyer after the Photographer has commenced work, 50% of the total contract value shall be non-refundable.
- Insurance & Liability: The Photographer shall maintain valid professional liability insurance covering all equipment and operations within Senegal Dakar. The Buyer shall not be held liable for any damage to the Photographer's equipment during the assignment.
- Compliance: The Photographer confirms that he holds all necessary permits and licenses to operate as a professional Photographer in the Republic of Senegal and shall comply with all local regulations regarding photography in public and heritage sites in Dakar.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes shall be resolved through the competent commercial courts of Dakar.
