This Purchase Order is issued by Meridian Corporate Events Pte. Ltd. (hereinafter referred to as the "Buyer") to engage the services of Aperture Visual Studio, a registered professional Photographer operating within Singapore Singapore (hereinafter referred to as the "Photographer" or "Seller"), for the provision of comprehensive photographic coverage of the Buyer's annual corporate gala and product launch event scheduled to take place on 22 August 2025 at the Marina Bay Sands Convention Centre, Singapore Singapore.

The Photographer shall be responsible for delivering high-resolution, professionally edited images in accordance with the specifications outlined in this Purchase Order. All photographic work shall be conducted in full compliance with the Personal Data Protection Act (PDPA) of Singapore Singapore and all applicable intellectual property legislation governing the use and reproduction of images within Singapore Singapore.

• Event Date: 22 August 2025, 14:00 to 24:00 SGT, Marina Bay Sands Convention Centre, Singapore Singapore.
• Same-day Slideshow: To be delivered to the Buyer's designated email no later than 18:00 SGT on 23 August 2025.
• Full Edited Gallery: All 350 final images to be delivered via secure cloud link within 10 business days of the event date.
• Printed Albums: Two (2) physical copies to be couriered to the Buyer's registered office in Singapore Singapore within 20 business days of the event date.
• RAW Files: Upon written request, the Photographer shall provide unedited RAW files within 15 business days at no additional charge.

• A 40% advance payment (SGD 6,638.10) is due within 7 business days of acceptance of this Purchase Order to confirm the Photographer's booking.
• The remaining 60% balance (SGD 9,957.15) shall be invoiced within 5 business days of full delivery of all deliverables and is payable within 30 days of invoice date.
• All payments shall be made via bank transfer to the Photographer's designated account in Singapore Singapore. Bank details are provided on the accompanying invoice.
• Late payments shall attract interest at the rate of 1.5% per month or the maximum rate permitted under the Interest Act of Singapore Singapore, whichever is lower.
• All amounts stated in this Purchase Order are in Singapore Dollars (SGD) and are inclusive of applicable Goods and Services Tax (GST) as levied in Singapore Singapore.

Upon full and final payment of all amounts due under this Purchase Order, the Photographer hereby grants the Buyer a perpetual, non-exclusive, royalty-free licence to reproduce, distribute, and display the final edited images for internal corporate communications, marketing materials, and social media channels. The Photographer retains the underlying copyright to all images as the original creator. Any commercial resale, sublicensing, or use of the images in third-party advertising campaigns requires prior written consent from the Photographer. All intellectual property matters arising under this Purchase Order shall be governed by the Copyright Act of Singapore Singapore.

• Cancellation by the Buyer more than 30 days prior to the event date shall result in forfeiture of the 40% advance payment only.
• Cancellation within 30 days of the event date shall result in a 75% charge of the total Purchase Order value.
• Cancellation within 7 days of the event date shall result in a 100% charge of the total Purchase Order value.
• The Photographer shall provide a minimum of 48 hours' written notice for any rescheduling request. Rescheduling is permitted once at no additional cost.
• The Photographer's total liability under this Purchase Order shall not exceed the total amount paid by the Buyer. Neither party shall be liable for indirect, consequential, or punitive damages.
• This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes shall be resolved through the Singapore Centre for Mediation (SCMed) before resorting to litigation in the courts of Singapore Singapore.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the engagement of the Photographer's services in Singapore Singapore. This Purchase Order may be executed electronically in accordance with the Electronic Transactions Act of Singapore Singapore.
