1. Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Photographer (Llum & Sombra Photography Studio) within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
2. Photographer Obligations: The Photographer shall arrive no later than one (1) hour prior to the scheduled start time at each venue in Spain Barcelona. The Photographer is responsible for all professional-grade camera equipment, lenses, lighting rigs, backup memory cards, and drone hardware (including valid AESA drone operating license for Spain).
3. Deliverables: All final edited images shall be delivered in both JPEG (300 DPI, sRGB) and TIFF (16-bit) formats via a secure cloud link. The Photographer guarantees a minimum of 500 usable, professionally retouched images across all events.
4. Usage Rights: Upon full payment, the Purchasing Party shall receive full commercial usage rights for all images produced under this Purchase Order. The Photographer retains the right to display up to ten (10) images in their personal portfolio and social media channels, subject to prior written approval from the Purchasing Party.
5. Payment Terms: A deposit of 40% (€5,203.00) is due within seven (7) business days of Purchase Order acceptance. The remaining 60% (€7,804.50) shall be invoiced and paid within thirty (30) days of final deliverable acceptance. Payment shall be made via bank transfer to the account specified on the Photographer's invoice. Late payments shall accrue interest at 1.5% per month as per Spanish commercial law (Ley 3/2004).
6. Cancellation & Rescheduling: Cancellation by the Purchasing Party more than fourteen (14) days before the event date shall result in forfeiture of the deposit only. Cancellation within fourteen (14) days shall be subject to a 75% charge of the total Purchase Order value. Rescheduling requests must be submitted in writing at least ten (10) business days in advance and are subject to the Photographer's availability in Spain Barcelona.
7. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Barcelona, Spain.
8. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased product details observed during the events in Spain Barcelona. This obligation survives the termination of this Purchase Order for a period of two (2) years.
9. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
10. Insurance: The Photographer shall maintain professional liability insurance with a minimum coverage of €1,000,000 per occurrence, valid throughout the duration of services in Spain Barcelona. A certificate of insurance shall be provided upon request.
