- Scope of Work: This Purchase Order authorises the Photographer, María Elena Solís Ferrer trading as Solís Visual Arts Studio, to perform the photography services described above within the municipality and province of Valencia, Spain. All shoots must be conducted in compliance with local regulations of the Ayuntamiento de Valencia and applicable Spanish data protection law (LOPDGDD / GDPR).
- Payment Terms: Payment of 50% of the total Purchase Order amount (EUR 3,817.55) is due upon signature of this document. The remaining 50% (EUR 3,817.55) shall be paid within 30 calendar days of the final delivery of all edited images. Payment shall be made via bank transfer to the IBAN specified above.
- Delivery Schedule: The Photographer shall deliver raw image files within 5 business days of each shoot date and fully edited, final files within 10 business days. All deliveries shall be made via secure cloud transfer to the designated Levante Creative Media S.L. account.
- Intellectual Property: Upon full payment, all rights to the final images, including reproduction, distribution, and modification rights, shall transfer to Levante Creative Media S.L. The Photographer retains the right to display a limited selection of images in a professional portfolio, subject to prior written approval from the Purchasing entity.
- Cancellation and Rescheduling: Either party may cancel or reschedule a shoot date with a minimum of 72 hours' written notice. Cancellations within 72 hours of the scheduled shoot date will incur a 50% fee of the applicable line-item price. Force majeure events, including severe weather conditions common to the Valencia coastal region, shall be handled on a case-by-case basis.
- Insurance and Liability: The Photographer shall maintain professional liability insurance with a minimum coverage of EUR 300,000, valid throughout the duration of this Purchase Order. The Photographer is responsible for all equipment used during the shoots in Spain Valencia and shall indemnify the Purchasing entity against any third-party claims arising from the Photographer's operations.
- Compliance with Spanish Law: This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be resolved by the competent courts of Valencia, Spain. The Photographer confirms that all services are rendered in full compliance with the Spanish Tax Agency (Agencia Tributaria) requirements and that all applicable VAT has been correctly applied.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all client information, trade secrets, and unpublished content encountered during the execution of this Purchase Order in Spain Valencia. This obligation survives the termination of this agreement for a period of two (2) years.
- Acceptance: The Purchasing entity shall have 5 business days from the date of final image delivery to inspect and accept the work. Failure to provide written notice of rejection within this period shall constitute acceptance of the deliverables.
