The Photographer shall provide comprehensive visual documentation services for the company's annual corporate branding campaign, quarterly board meetings, product launches, and community outreach events scheduled throughout the period of this Purchase Order. All photographic services shall be executed within the Tanzania Dar es Salaam metropolitan area and its immediate environs, including but not limited to the Kigamboni, Temeke, and Kinondoni districts.

1. Acceptance of Purchase Order: By signing this Purchase Order, the Photographer acknowledges and agrees to all terms, conditions, and scope of work outlined herein. The Photographer confirms availability to commence services on or before 01 July 2025 within Tanzania Dar es Salaam.
2. Payment Schedule: Payment shall be made in three equal installments of TZS 43,200,000 each, due at the commencement of services, at the midpoint of the contract period, and upon final delivery of all photographic assets. All payments shall be processed via bank transfer to the account designated by the Photographer.
3. Intellectual Property: All photographs, images, and visual content produced under this Purchase Order shall become the exclusive property of East African Media & Communications Ltd. upon full payment. The Photographer retains the right to display a limited selection of work in their professional portfolio, subject to prior written approval from the Buyer.
4. Equipment and Standards: The Photographer shall provide all necessary professional-grade camera equipment, lighting rigs, lenses, and post-production software. All deliverables must meet industry-standard resolution (minimum 300 DPI for print, 72 DPI for digital) and adhere to the brand guidelines specified in Annex A of this Purchase Order.
5. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Photographer shall be compensated for all services rendered up to the date of termination, less any unused prepaid amounts.
6. Compliance with Local Law: All services rendered under this Purchase Order shall comply with the laws of the United Republic of Tanzania, including but not limited to the Tanzania Copyright and Related Rights Act, the Tanzania Revenue Authority (TRA) tax regulations, and all applicable municipal by-laws governing commercial photography operations in Tanzania Dar es Salaam.
7. Insurance and Liability: The Photographer shall maintain comprehensive professional liability insurance with a minimum coverage of TZS 500,000,000 throughout the duration of this Purchase Order. The Photographer shall be solely responsible for any damage to equipment or property during the execution of services.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Tanzania Dar es Salaam. Should mediation fail, the matter shall be referred to the Commercial Court of Tanzania Dar es Salaam for adjudication.
