This Purchase Order is issued by Siam Creative Media Co., Ltd. to formally engage the services of Bangkok Lens Studio, a professional Photographer based in Thailand Bangkok, for the purpose of producing a comprehensive visual content package for the buyer's upcoming corporate branding campaign. The Photographer shall deliver all photographic assets in accordance with the specifications outlined in this Purchase Order and the attached creative brief (Appendix A, referenced herein).

The Photographer is expected to conduct all on-location shoots within the metropolitan area of Thailand Bangkok, including but not limited to the following venues: the Chao Phraya Riverfront, the Grand Palace district (exterior only, subject to permit), Siam Paragon commercial district, and the buyer's headquarters at 88 Sukhumvit Road. The Photographer shall bring all necessary professional-grade equipment, including but not limited to full-frame DSLR or mirrorless camera bodies, a minimum of three prime and zoom lenses, professional lighting kits, and backup storage media.

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Photographer (Bangkok Lens Studio) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
2. Payment: The Buyer shall remit payment within thirty (30) days of receipt of a valid tax invoice from the Photographer. Payment shall be made via bank transfer to the account designated by the Photographer in Thailand Bangkok. Late payments shall accrue interest at 1.5% per month.
3. Intellectual Property: Upon full and final payment, all photographic works, raw files, and edited images produced under this Purchase Order shall become the exclusive property of the Buyer. The Photographer retains the right to display a maximum of three (3) images in their personal portfolio, subject to prior written approval from the Buyer.
4. Model Releases: The Photographer is responsible for obtaining signed model release forms from all individuals photographed during sessions conducted in Thailand Bangkok. All releases shall be executed in both Thai and English and delivered to the Buyer concurrently with the final image package.
5. Location Permits: The Photographer shall secure all necessary filming and photography permits from relevant Thai authorities (including the Bangkok Metropolitan Administration) for any public or restricted locations in Thailand Bangkok. All permit fees are included in Line Item 05.
6. Revisions: The Buyer is entitled to one (1) round of minor retouching revisions per image at no additional cost. Additional revision rounds shall be billed at THB 500 per image.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Thailand Bangkok, or public health emergencies.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through the courts of competent jurisdiction in Bangkok, Thailand.
9. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding the Buyer's proprietary information, trade secrets, and unreleased campaign materials encountered during the execution of this Purchase Order in Thailand Bangkok.
10. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination.
