This Purchase Order is issued by Al Noor Media & Events LLC (hereinafter referred to as the "Buyer") to formally engage the services of a professional Photographer and associated photography team provided by LensCraft Photography Studio FZ-LLC (hereinafter referred to as the "Seller") for the execution of a comprehensive corporate photography project. The Photographer shall be deployed to carry out all photographic assignments within the emirate of Abu Dhabi, United Arab Emirates, in strict compliance with the specifications outlined in this document and the attached Statement of Work (SOW-ADH-2025-04782).

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates, or, at the Buyer's discretion, resolved through arbitration at the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC) in accordance with its rules of procedure.
- Photographer Qualifications and Licensing: The Seller warrants that the lead Photographer and all supporting photography personnel engaged under this Purchase Order hold valid trade licenses issued by the Abu Dhabi Department of Economic Development (DED) and possess all necessary permits for commercial photography operations within the emirate of Abu Dhabi. The aerial Photographer (drone operator) shall hold a valid General Civil Aviation Authority (GCAA) drone pilot license and shall obtain all required flight permits prior to any aerial photography operations.
- Scope of Work and Deliverables: The Photographer shall deliver all final edited images within fifteen (15) business days from the completion of the last shooting day. All deliverables shall be provided in a secure digital format via encrypted cloud transfer. The Photographer shall retain no copies of the final deliverables beyond the agreed delivery period unless a separate archival agreement is executed in writing.
- Intellectual Property Rights: Upon full and final payment of the total amount specified in this Purchase Order, all intellectual property rights, copyrights, and reproduction rights in the final photographic works shall vest exclusively in the Buyer. The Photographer and the Seller retain the right to use up to ten (10) images for portfolio and marketing purposes, subject to prior written approval from the Buyer.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Seller. Payment shall be made via bank transfer to the Seller's designated corporate bank account in the United Arab Emirates. The Buyer reserves the right to withhold payment in the event of non-conforming deliverables or breach of any term of this Purchase Order.
- Confidentiality and Data Protection: The Photographer and all personnel engaged under this Purchase Order shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. No images containing identifiable individuals shall be shared, published, or distributed without the prior written consent of the Buyer and, where applicable, the subjects depicted.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, government orders, pandemics, or restrictions imposed by the Abu Dhabi municipal or federal authorities of the United Arab Emirates.
- Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice to the other party. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination. The Photographer shall cease all operations immediately upon receipt of a termination notice.
- Health, Safety, and Compliance: The Photographer and all supporting staff shall comply with all applicable health and safety regulations in Abu Dhabi, United Arab Emirates, including but not limited to the requirements of the Abu Dhabi Occupational Safety and Health Centre (ADOSH). The Seller shall ensure that all personnel carry valid medical fitness certificates and appropriate insurance coverage.
- Entire Agreement: This Purchase Order, together with the attached Statement of Work and any amendments executed in writing, constitutes the entire agreement between the parties with respect to the engagement of the Photographer for the services described herein. No oral representations or prior agreements shall be of any force or effect.
