Licensing and Compliance: The Photographer and all associated personnel must hold valid work permits and professional photography licenses issued by the relevant authorities in the United Arab Emirates Dubai. The Photographer is responsible for obtaining all necessary permits for drone operations, venue access, and portrait releases.
3. Intellectual Property: Upon full and final payment, all copyright and reproduction rights to the delivered images shall transfer to Meridian Events & Media LLC. The Photographer retains the right to use up to 20 images in their professional portfolio, subject to prior written approval from the Buyer.
4. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all event content, attendee identities, and proprietary information observed during the engagement in the United Arab Emirates Dubai. A non-disclosure agreement (NDA) is attached as Annexure B.
5. Insurance: The Photographer shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of AED 2,000,000, valid throughout the duration of the engagement.
6. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared in the United Arab Emirates Dubai.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates Dubai. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the Dubai Courts or, at the Buyer's discretion, the Dubai International Financial Centre (DIFC) Courts.
8. Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination by the Buyer without cause, the Photographer shall be compensated for all services rendered and expenses incurred up to the date of termination.

All photographic deliverables shall be provided in both RAW and JPEG (minimum 300 DPI) formats. The Buyer shall have 10 business days from the date of delivery to inspect and either accept or reject the deliverables in writing. Failure to respond within this period shall constitute deemed acceptance.
