This Purchase Order is issued by Meridian Corporate Communications Ltd. to formally engage the services of a professional Photographer operating within United Kingdom London for the purpose of delivering a comprehensive corporate photography programme. The Photographer shall provide all equipment, post-production editing, and delivery of final image assets in accordance with the specifications outlined below. All work shall be performed at the client's premises located in the City of London, United Kingdom, unless otherwise agreed in writing.

5.1 Acceptance. This Purchase Order constitutes a binding offer. The Photographer (Thames Visual Studios) shall confirm acceptance in writing within five (5) working days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
5.2 Delivery Schedule. All photographic deliverables shall be completed and delivered in accordance with the timeline agreed upon in the attached Statement of Work. The Photographer shall provide a progress report to the Buyer every five (5) working days from the commencement of the engagement.
5.3 Intellectual Property. Upon full and final payment, all copyright and intellectual property rights in the final delivered images shall transfer to Meridian Corporate Communications Ltd. The Photographer retains the right to display a maximum of five (5) images in their professional portfolio, subject to prior written approval from the Buyer.
5.4 Payment. Payment shall be made by BACS bank transfer to the account details provided by the Photographer within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of four per cent (4%) above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable in the United Kingdom.
5.5 Cancellation & Rescheduling. The Buyer may cancel or reschedule any individual shoot date with a minimum of seven (7) working days' written notice. Cancellations made within fewer than seven (7) working days shall incur a 50% fee on the applicable line item. The Photographer may reschedule due to force majeure events with 48 hours' notice, at no cost to the Buyer.
5.6 Insurance & Compliance. The Photographer shall maintain public liability insurance of no less than £5,000,000 and professional indemnity insurance of no less than £1,000,000 for the duration of this engagement. All work shall comply with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR) with respect to any personal data captured during the photography sessions in United Kingdom London.
5.7 Governing Law. This Purchase Order and any disputes arising thereunder shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
5.8 Confidentiality. Both parties agree to treat all information exchanged in connection with this Purchase Order as strictly confidential and shall not disclose such information to any third party without prior written consent, save as required by law or regulation in the United Kingdom.
