The Photographer shall deliver all services in full compliance with the terms outlined in this Purchase Order document.

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Photographer. The Photographer must sign and return a copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
2. Performance: The Photographer shall perform all services in a professional and workmanlike manner consistent with industry standards for professional photography in the United States Chicago metropolitan area. The Photographer warrants that all equipment used shall be in proper working condition.
3. Payment: Payment of the total amount stated in this Purchase Order shall be made within thirty (30) days of the date of final invoice submission. Payment shall be made via ACH transfer to the bank account designated by the Photographer. Late payments shall accrue interest at a rate of 1.5% per month.
4. Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) days written notice prior to the event date. In the event of cancellation by the Buyer, the Photographer shall be compensated for 50% of the total Purchase Order value. In the event of cancellation by the Photographer, the Photographer shall refund any deposits received within ten (10) business days.
5. Intellectual Property: Upon full payment of this Purchase Order, all rights, title, and interest in the final delivered photographs and video content shall transfer to Lakefront Media & Events Group, LLC. The Photographer retains the right to use up to ten (10) images for personal portfolio and marketing purposes, subject to prior written approval from the Buyer.
6. Insurance: The Photographer shall maintain general liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order engagement. A certificate of insurance naming the Buyer as an additional insured shall be provided prior to the event date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, Cook County, Illinois, in accordance with the rules of the American Arbitration Association.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters, government orders, or other events beyond reasonable control, provided that the affected party gives prompt written notice to the other party.
9. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal business matters observed during the performance of services under this Purchase Order in United States Chicago.
10. Entire Agreement: This Purchase Order, together with any attached exhibits or addenda, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
