1. Scope of Work: The Photographer agrees to perform all services described in this Purchase Order in a professional, timely, and workmanlike manner. The Photographer shall be the sole creative authority during all shooting sessions unless otherwise directed in writing by the buyer's project manager.
2. Location and Jurisdiction: All services under this Purchase Order shall be rendered in United States Los Angeles, California. This agreement shall be governed by and construed in accordance with the laws of the State of California and applicable federal regulations of the United States. Any disputes arising from this Purchase Order shall be resolved in the courts of Los Angeles County, California.
3. Payment Terms: Payment shall be due within thirty (30) calendar days of the date of invoice. The Photographer shall submit a single consolidated invoice upon completion of all deliverables. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made via ACH transfer or certified check to the account designated by the Photographer.
4. Cancellations within 72 hours of the scheduled session shall incur a 50% fee of the applicable line item. The Photographer shall make reasonable efforts to accommodate rescheduling requests within the project timeline.
6. Insurance and Liability: The Photographer shall maintain comprehensive general liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order. The Photographer shall be responsible for any damage to the buyer's property caused by the Photographer, their assistants, or their equipment during the engagement.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, severe weather conditions affecting the Los Angeles area, government mandates, or public health emergencies.
8. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased product details encountered during the course of this engagement in United States Los Angeles.
