- Scope of Work: The Photographer, Carlos Rivera Photography, agrees to perform all photographic and videographic services as described in the line items above. The Photographer shall arrive no later than 90 minutes prior to the scheduled event start time at the Miami Convention Center, United States Miami, Florida 33132.
- Acceptance of Purchase Order: This Purchase Order becomes a binding contract upon written acceptance by the Photographer. The Photographer must sign and return a copy of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
- Payment Schedule: A 40% deposit ($4,039.20) is due upon acceptance of this Purchase Order. The remaining 60% ($6,058.80) shall be invoiced within five (5) business days following delivery of all final edited images and printed materials. Payment is due Net 30 days from invoice date via wire transfer or ACH to the account designated by the Photographer.
- Intellectual Property: Upon full payment, all final edited images, video files, and printed materials become the exclusive property of Sunshine Events & Productions, LLC. The Photographer retains the right to use up to ten (10) images for personal portfolio and marketing purposes, provided the buyer is credited.
- Cancellation Policy: Cancellation by the buyer more than 14 days prior to the event date will result in forfeiture of the deposit only. Cancellation within 14 days of the event date will result in a 50% charge of the total Purchase Order value. The Photographer may cancel with 72 hours notice, in which case the full deposit shall be refunded.
- Weather and Force Majeure: Given the location in United States Miami, where tropical weather events are common, either party may reschedule the event photography up to 48 hours in advance due to declared weather emergencies, hurricanes, or government-issued evacuation orders without penalty.
- Insurance: The Photographer shall maintain a minimum of $1,000,000 in general liability insurance and $500,000 in professional liability (errors and omissions) insurance for the duration of the engagement. A certificate of insurance naming the buyer as additional insured must be provided prior to the event date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, United States Miami, Florida.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding the buyer's event details, guest list, and any proprietary information encountered during the engagement in United States Miami. This obligation survives for two (2) years following completion of services.
- Compliance: The Photographer warrants that all services will be performed in compliance with all applicable federal, state, and local laws, including but not limited to FAA regulations for drone operations and Florida state photography licensing requirements.
