- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Photographer. The Photographer must confirm acceptance in writing within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Performance Location: All photography sessions, shoots, and on-site services referenced in this Purchase Order shall take place within the five boroughs of United States New York City, unless the Buyer provides written authorization for an off-site location. The Photographer is responsible for all travel, parking, and location fees within the New York City metropolitan area.
- Delivery and Acceptance: The Photographer shall deliver all final, retouched digital images via a secure cloud-based file transfer platform to the Buyer's designated project manager. The Buyer shall have ten (10) business days from the date of delivery to inspect and accept or reject the deliverables. Rejection must be accompanied by a written description of deficiencies. The Photographer shall have five (5) business days to correct and resubmit rejected items at no additional cost.
- Payment: Payment of the full amount stated in this Purchase Order shall be made via wire transfer to the account designated by the Photographer within thirty (30) days of the Buyer's written acceptance of all deliverables. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under New York State law, whichever is lower.
- Intellectual Property: Upon full payment, all final images and associated intellectual property rights shall transfer to the Buyer as specified in Line Item 5. The Photographer warrants that all work delivered under this Purchase Order is original, free of third-party claims, and does not infringe upon any copyright, trademark, or other intellectual property rights.
- Cancellation and Termination: Either party may cancel this Purchase Order with thirty (30) days written notice. In the event of cancellation by the Buyer after the Photographer has commenced work, the Buyer shall be liable for all costs incurred up to the date of cancellation, including non-refundable studio rentals, equipment fees, and labor already performed.
- Insurance and Liability: The Photographer shall maintain, at their own expense, a minimum of $1,000,000 in general liability insurance and $500,000 in professional liability (errors and omissions) insurance for the duration of this Purchase Order. The Photographer shall provide a certificate of insurance naming Meridian Creative Group, LLC as an additional insured prior to commencing any on-site work in United States New York City.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the federal laws of the United States applicable therein. Any disputes arising under this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York City, United States.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to causes beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemics, or severe weather conditions affecting operations in United States New York City.
- Compliance: The Photographer represents and warrants that they hold all necessary business licenses, permits, and registrations required to operate a photography business in the City of New York, State of New York, and the United States. The Photographer shall comply with all applicable federal, state, and local laws, including but not limited to the New York City Administrative Code and the New York State Labor Law.
