This Purchase Order is issued by Golden Gate Media Productions, LLC (hereinafter referred to as the "Buyer") to engage the services of Mr. David R. Okafor, a licensed and insured Professional Photographer operating under the trade name Okafor Visual Arts Studio (hereinafter referred to as the "Photographer" or "Seller"), for the provision of comprehensive photographic services to be performed within the city and county of San Francisco, California, United States. The Photographer shall deliver all services in full compliance with the terms, conditions, and specifications outlined in this Purchase Order document.
The Photographer is engaged to provide professional editorial, commercial, and event photography services for the Buyer's upcoming product launch campaign, corporate annual report, and two (2) internal company events. All photographic work shall be conducted at locations within the United States San Francisco metropolitan area, including but not limited to the Buyer's headquarters at 1450 Market Street, the Embarcadero waterfront venue, and the Presidio National Park grounds. The Photographer is expected to bring all necessary professional-grade equipment, including but not limited to full-frame DSLR and mirrorless camera bodies, a selection of prime and zoom lenses, professional lighting kits, reflectors, tripods, and backup storage media.

- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Photographer. The Photographer must sign and return a copy of this Purchase Order to the Buyer within five (5) business days of the date of issue. Failure to return the signed Purchase Order within this period shall constitute a declination of the engagement.
- Scope of Work: The Photographer agrees to perform all services described in Section 4 of this Purchase Order to the highest professional standard. The Photographer warrants that all work shall be original, free from infringement of any third-party intellectual property rights, and delivered in the formats specified by the Buyer.
- Schedule: All photographic sessions shall be conducted at the locations within United States San Francisco as mutually agreed upon in writing. The Photographer shall arrive no less than one (1) hour prior to the scheduled start time for setup. Any rescheduling must be communicated at least seventy-two (72) hours in advance.
- Payment: The Buyer shall remit payment within thirty (30) calendar days of the date of invoice, which shall be issued by the Photographer upon completion of all deliverables. Payment shall be made via ACH transfer or certified check to the account designated by the Photographer. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2310.
- Deliverables: The Photographer shall deliver all final, edited, and licensed images via a secure cloud-based file transfer platform within the timelines specified in Section 4. The Photographer shall retain no copies of the Buyer's proprietary or confidential materials beyond the completion of the engagement.
- Insurance: The Photographer shall maintain, at their own expense, a minimum of $1,000,000 in general liability insurance and $500,000 in professional liability (errors and omissions) insurance, with the Buyer named as an additional insured. Certificates of insurance shall be provided prior to the commencement of any work in San Francisco.
- Confidentiality: The Photographer acknowledges that, in the course of performing services for this Purchase Order, they may have access to the Buyer's confidential and proprietary information. The Photographer agrees to hold all such information in strict confidence and shall not disclose, publish, or use it for any purpose other than the fulfillment of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with written notice if the other party materially breaches any term and fails to cure such breach within ten (10) business days. Upon termination, the Buyer shall pay the Photographer for all services satisfactorily rendered up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California, United States.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, severe weather affecting the San Francisco Bay Area, government orders, or pandemics, provided that the affected party gives prompt written notice to the other party.
