The following terms govern this Purchase Order and the engagement of the Photographer in Zimbabwe Harare:
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Photographer within five (5) business days of the date of issue. The Photographer must return a signed copy to the Procurement Department at Shamvale Creative Media, Harare.
- Delivery Schedule: All photographic deliverables must be submitted in accordance with the project timeline attached as Annexure A. Late delivery beyond the agreed dates shall attract a penalty of 2% of the total Purchase Order value per calendar day of delay, capped at 15%.
- Intellectual Property: Upon full payment, all final images, raw files, and derivative works produced under this Purchase Order shall become the exclusive property of Shamvale Creative Media (Pvt) Ltd. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio with prior written consent.
- Compliance: The Photographer must hold a valid Zimbabwean business permit, a current ZIMRA tax clearance certificate, and, where applicable, a ZINARA drone operating licence. All work must comply with the Zimbabwe Copyright and Performance Rights Act (Chapter 26:05).
- Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Photographer. Payment will be processed via electronic funds transfer (EFT) to the bank account specified in Section 1. The Photographer is responsible for all applicable withholding tax obligations under Zimbabwean law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-imposed restrictions in Zimbabwe, natural disasters, or civil unrest in Harare or surrounding provinces.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Harare, Zimbabwe. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Zimbabwe Arbitration Centre.
- Subcontracting: The Photographer may not subcontract any portion of the work outlined in this Purchase Order without prior written approval from the Procurement Manager at Shamvale Creative Media.
