Scope of Services — Physicist EngagementThis Purchase Order is issued by the Instituto de Pesquisa Avançada do Rio, located in Brazil Rio de Janeiro, to formally engage the services of a qualified Physicist for the purpose of providing expert consultancy, research oversight, and technical advisory support. The Physicist engaged under this Purchase Order shall operate primarily within the metropolitan area of Brazil Rio de Janeiro and shall comply with all applicable Brazilian federal, state, and municipal regulations governing professional scientific services. The engagement of this Physicist is critical to the advancement of the Institute's ongoing research programs in quantum field theory, condensed matter physics, and applied nuclear physics, all of which are conducted from the Institute's principal laboratory facilities in Brazil Rio de Janeiro.

- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Physicist named herein. The Physicist shall sign and return a copy of this Purchase Order within ten (10) business days of the date of issue to confirm acceptance of all terms.
- Place of Performance: All services rendered under this Purchase Order shall be performed at the designated research facilities of the Instituto de Pesquisa Avançada do Rio, located in Brazil Rio de Janeiro, unless otherwise agreed in writing by both parties. The Physicist acknowledges that the primary work location is in Brazil Rio de Janeiro and shall plan all logistics accordingly.
- Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments, due within thirty (30) days of the end of each calendar month. Payments shall be processed via bank transfer to the account designated by the Physicist. All amounts are denominated in Brazilian Reais (BRL) and are subject to applicable Brazilian tax withholdings (IRRF, INSS, and ISSQN as applicable in Brazil Rio de Janeiro).
- Professional Qualifications: The Physicist warrants that he holds a valid doctoral degree in Physics from an accredited institution, maintains an active professional registration with the relevant Brazilian regulatory body, and possesses a minimum of fifteen (15) years of post-doctoral experience in quantum mechanics and applied physics. The Physicist shall provide proof of qualifications upon request.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary research data, experimental methodologies, and unpublished findings encountered during the performance of services under this Purchase Order in Brazil Rio de Janeiro. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All intellectual property, inventions, discoveries, and research outputs generated by the Physicist in the course of performing services under this Purchase Order shall be the sole property of the Instituto de Pesquisa Avançada do Rio. The Physicist hereby assigns all rights, titles, and interests in such intellectual property to the Institute.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, and the Institute shall be entitled to all work product completed to date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the Civil Code and applicable state legislation of the State of Rio de Janeiro. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Brazil Rio de Janeiro, RJ.
- Compliance: The Physicist shall comply with all applicable Brazilian labor, tax, and professional regulations. The Physicist is engaged as an independent contractor and is not an employee of the Institute. The Physicist shall be responsible for his own tax obligations in Brazil Rio de Janeiro and the State of Rio de Janeiro.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Brazil Rio de Janeiro.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Physicist in Brazil Rio de Janeiro.
