1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Civil Code (Lei nº 10.406/2002) and the Consumer Protection provisions where applicable. Any disputes arising from this Purchase Order shall be resolved by the competent courts of the city of São Paulo, State of São Paulo, Brazil.
2. Intellectual Property: All research outputs, data sets, theoretical models, and publications generated by the Physicist in the course of this engagement shall be the exclusive property of QDRI. The Physicist retains the right to cite the work in subsequent academic publications, provided that QDRI is acknowledged as the funding and hosting institution in São Paulo.
3. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental parameters, and unpublished findings encountered during the engagement. This obligation survives the termination of this Purchase Order for a period of five (5) years.
4. Payment: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer (TED/PIX) to the account specified in Section 1 within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC, in accordance with Brazilian commercial practice.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all hours worked and deliverables completed up to the effective date of termination.
6. Compliance: The Physicist warrants that all services will be performed in full compliance with Brazilian federal and São Paulo state regulations, including data protection under the General Data Protection Law (LGPD – Lei nº 13.709/2018) and occupational safety standards enforced by the São Paulo State Labor Department.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the São Paulo region, government-mandated closures, or pandemics, provided that written notice is given within 48 hours of the event.
